Amendments and Waivers. Any term or provision hereof may be amended, terminated or waived, either retroactively or prospectively and either generally or in a particular instance, with the written consent of the Company and the Stockholder.

Amendments and Waivers. Except as specified in [Section 1.2.2], any term of this Agreement may be amended, terminated or waived (either generally or in a particular instance and either retroactively or prospectively) only with the written consent of the Company and the Purchasers holding a majority of the then-outstanding shares of Common Stock issued on conversion thereof.. Notwithstanding the foregoing, the addition of a party to this Agreement pursuant to a transfer of Shares in accordance with [Section 8.1] will not require any further consent. Any amendment or waiver effected in accordance with this [Section 8.8] will be binding upon the Purchasers and the Company.

Amendments and Waivers. This Agreement represents the entire understanding of the parties with respect to the subject matter hereof and supersedes all previous understandings, whether written or oral. This Agreement may only be amended with the written consent of both the Stockholder and the Company. No oral waiver or amendment shall be effective under any circumstances whatsoever.
