Appendix # (“Royalties”)

Amendment to the Agreement. The Agreement is amended as follows:

Each of Arcadia and Buyer, jointly and severally, represents and warrants toto Parent and each Seller as follows:

Effective as of August 24, 2021, [Section 1.1] of the Credit Agreement is hereby amended by replacing the definition of “Adjusted LIBO Rate” in its entirety with the following:

Amendment to the Employment Agreement. Effective as of the Amendment Date, the Employment Agreement is hereby amended as follows:

Amendment to the Subscription Agreement. The Subscription Agreement is hereby amended as follows:

[Appendix B] of the Agreement is revised to read, in its entirety, as set forthing in [Appendix B] of this Amendment No 1.

Amendment to the Credit Agreement. Effective as of the Second Amendment Closing Date and subject to the terms and conditions set forth herein and in reliance upon the representations and warranties set forth herein, the Credit Agreement shall be amended as set forth in the Amended Credit Agreement attached hereto as [Exhibit A]; provided, however, that the amendments to [Section 8.2.6(iv)(B)(a)] contained in the Amended Credit Agreement shall be effective as of April 10, 2018.

Amendment(s) to the Agreement. [Appendix B] of the Agreement is revised to read, in its entirety, as set forthing in [Appendix B] of this Amendment No 3.

Amendment to the Credit Agreement. Upon satisfaction of the conditions set forth in Section 3 hereof, the parties hereto hereby agree that the Credit Agreement is hereby amended effective as of the date of this Amendment (the “Amendment Effective Date”) by incorporating the changes shown on the marked copy of the Credit Agreement attached hereto as Exhibit A (it being understood that the language which appears “struck out” has been deleted and language which appears as “double-underlined” has been added). Attached hereto as Exhibit B is a clean copy of the Credit Agreement conformed through this Amendment.
