Amendment to Security Agreement. Effective as of the date of satisfaction of the conditions precedent set forth in Section 3 below, the Security Agreement is hereby amended to restate the last two sentences of [Section 4.5] thereof in their entirety to read as follows:

The period from the Agreement Effective Date (as defined below) to the date that a Forbearance Termination Event occurs shall be referred to as the “Forbearance Period.”

Issuer has requested that the Second Lien Forbearance Agreement be amended to extend the Forbearance Period to April 30, 2015 on the terms and conditions set forth herein.

the written agreement among the Loan Parties, the Administrative Agent and the Required [[Forbearing Lenders:Organization]] that the Forbearance shall be terminated prior to the Scheduled Forbearance Period End Date.

Upon the occurrence of a Forbearance Termination Event, the Forbearance Period and the Forbearance shall immediately and automatically end without the requirement of any demand, presentment, protest, notice (including any written notice required by [Section 8.01] of the Credit Agreement) or other action of any kind (other than as provided in Section 3(d) below), all of which the Borrower and each of the other Loan Parties waive; provided notwithstanding anything to the contrary herein, the Forbearance Period and Forbearance shall terminate automatically and without notice of termination immediately upon the occurrence of an Event of Default of the type set forth in [Section 8.01(f)] of the Credit Agreement.

Bank and Borrowers are parties to that certain Loan and Security Agreement dated as of January 31, 2012, as amended by a First Amendment to Loan and Security Agreement dated as of October 25, 2012 and a Second Amendment to Loan and Security Agreement dated as of February 8, 2013, a Third Amendment to Loan and Security Agreement dated as of March 1, 2013, a Fourth Amendment to Loan and Security Agreement dated as of January 22, 2014, a Fifth Amendment and Forbearance to Loan and Security Agreement dated as of February 10, 2014, a Sixth Amendment and Waiver to Loan and Security Agreement dated as of March 5, 2014, and a Seventh Amendment to Loan and Security Agreement dated as of April 30, 2014, an Eighth Amendment to Loan and Security Agreement dated as of June 20, 2014, and a Ninth Amendment to Loan and Security Agreement dated as of November 10, 2014 (as the same may from time to time be further amended, modified, supplemented or restated, collectively, the “Loan Agreement”).

Amendment to the Credit Agreement. Effective as of the Amendment Effective Date (as defined below), the Credit Agreement (excluding all Schedules and Exhibits thereto, each of which shall remain as in effect immediately prior to the Amendment Effective Date) is hereby amended to delete the stricken text (indicated textually in the same manner as the following example: stricken text) and to add the bold and underlined text (indicated textually in the same manner as the following example: bold and underlined text) as set forth in the pages of the Credit Agreement attached as Exhibit A hereto.

Amendment to the Credit Agreement. Effective as of the date of satisfaction of the conditions precedent set forth in Section 2 below, the parties hereto agree that the Credit Agreement is hereby amended as follows:

Amendment of Note Purchase Agreement. Subject to the satisfaction or waiver in writing by Aegis of each condition precedent set forth in Section 4 of this First Amendment Agreement, the Note Purchase Agreement shall, effective as of the Effective Date, be amended in the manner provided in this Section 1.

Amendment to the Purchase Agreement. Effective as of the date hereof, the parties amend the Purchase Agreement as follows:
