Amendment Documents. Administrative Agent shall have received duly executed and delivered counterparts of each Amendment Document # in form, substance and date satisfactory to Administrative Agent and each Lender as required pursuant to the terms of the Credit Agreement, and # in such numbers as Administrative Agent or its counsel may reasonably request.

Execution of Amendment. The Administrative Agent shall have received duly executed counterparts of this Amendment which, when taken together, bear the signatures of each Credit Party, the Administrative Agent and the Required Lenders.

Amendment. The Administrative Agent shall have received an executed counterpart of this Amendment from the Required Lenders, duly executed by a responsible officer of the Loan Parties.

the Administrative Agent shall have received, in form and substance reasonably satisfactory to the Administrative Agent, a counterpart of this Amendment executed by the Borrower, the Administrative Agent and each of the Required ​;

the Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the authorization of execution, delivery and performance of this First Amendment, the performance of the Credit Agreement and each other applicable Loan Document and any other legal matters relating to the Loan Documents, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel; and

Amendment. The Administrative Agent shall have received counterparts of this Amendment duly executed by the Company, the Administrative Agent and the Increasing Lenders (which must comprise the Required Lenders).

The Administrative Agent (or its counsel) shall have received counterparts of this Amendment duly executed by the Company, each of the Lenders, each of the Issuing Banks and the Administrative Agent.

The Administrative Agent (or its counsel) shall have received from # the Borrower, # the Consenting Lenders who comprise at least the Required Lenders and # the Administrative Agent, either # counterparts of this Amendment signed on behalf of such parties or # written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmissions of signed signature pages) that such parties have signed counterparts of this Amendment.

The Administrative Agent shall have received a counterpart of this Amendment, executed and delivered by a duly authorized officer of each of # Holdings, # the Borrower, (C) (i) Lenders constituting the Required Lenders or # in the case of the amendments to Sections 5.1 and 5.2(c) of the Loan Agreement set forth in Exhibit A hereto, each Lender directly and adversely affected thereby, and # the Administrative Agent.
