[Schedule 5.08(b)] sets forth a complete and accurate list of all Liens on the property or assets of the Borrower and each of its Subsidiaries, showing as of the date hereof the lienholder thereof, the principal amount of the obligations secured thereby and the property or assets of such Loan Party or such Subsidiary subject thereto. The property of each Loan Party and each of its Subsidiaries is subject to no Liens, other than Liens set forth on [Schedule 5.08(b)], and as otherwise permitted by Section 7.01.

[Schedule 7.8(b)] sets forth, as of the Closing Date, a complete and accurate list of all Liens (other than Liens permitted under [Sections 9.1(a) and (c) through (n)]) on the property or assets of each Credit Party and each of its Subsidiaries, showing as of the date hereof the lienholder thereof and the property or assets of such Credit Party or such Subsidiary subject thereto. The property of each Credit Party and each of its Subsidiaries is subject to no Liens, other than Liens set forth on [Schedule 7.8(b)], and Permitted Liens.

A complete and correct list, as of the date of this Agreement, of each Lien securing Indebtedness in excess of $1,000,000 of any Person and covering any property of the Borrower or any of its Subsidiaries (other than any Immaterial Subsidiary), and the aggregate Indebtedness secured (or that may be secured) by each such Lien and the property covered by each such Lien is correctly described in [Schedule 5.21(b)].

Liens on any property or asset of the Borrower or any of its Subsidiaries existing on the date hereof and set forth on [Schedule 7.2]; provided that such Liens shall not apply to any other property or asset of the Borrower or any Subsidiary;
