Attachment. This Lease or any estate of Tenant hereunder is levied upon under any attachment or execution and such attachment or execution is not vacated within sixty (60) days.

Amendment to [Attachment A]. [Attachment A] of the Plan is hereby amended and restated in its entirety as set forth on [Attachment A] to this First Amendment.

Except as required by law, no right to receive payments under this Agreement shall be subject to anticipation, commutation, alienation, sale, assignment, encumbrance, charge, pledge, or hypothecation, or to execution, attachment, levy, or similar process or assignment by operation of law, and any attempt, voluntary or involuntary, to affect any such action shall be null, void, and of no effect.

Section # Addition of [Exhibits B] and C to the Agreement. Attachment 1 to this Amendment is hereby added as Exhibit B to the Agreement and Attachment 2 to this Amendment is hereby added as Exhibit C to the Agreement.

Attachment, Judgment, Tax Liens. The issuance or filing against any Borrower or any Guarantor of any lien, attachment, injunction, execution or judgment for the payment of money in excess of $10,000,000 which is not vacated, satisfied or discharged in full or stayed within 30 days after issuance or filing;

Section # Amendment to the ECCA. [Exhibit A] to the ECCA is hereby amended and restated in its entirety to read as set forth on [Attachment 1] attached hereto.

“Tax Return” means any return, declaration, report, claim for refund, information return or statement or any schedule or attachment thereto, and including any amendment thereof, relating to Taxes.

Inability to Pay Debts; Attachment. (i) Any Loan Party or any Restricted Subsidiary becomes unable or admits in writing its inability or fails generally to pay its debts as they become due, or # any writ or warrant of attachment or execution or similar process is issued or levied against all or any material part of the property of the Loan Parties, taken as a whole, and is not released, vacated or fully bonded within sixty (60) days after its issue or levy; or

Amendment. Except as provided in Paragraph 13 above, this Agreement may not be modified or amended except by written instrument signed by all parties hereto.

Amendment. Effective as of the Effective Date, the Employment Agreement is amended as follows:
