ARTICLE # Amendment, Modification and Waiver

The Facility Agent must promptly notify the other Parties of any amendment or waiver effected by it under sub-clause 27.1.1 above. Any such amendment or waiver is binding on all the Parties.

SECTION #Effectiveness of Amendment and Waiver. This Amendment shall become effective upon # the receipt by the Administrative Agent of counterparts of this Amendment and Waiver duly executed by each of the Borrower, the Administrative Agent and the Required Lenders, and # the receipt by the Administrative Agent from the Borrower of all out-of-pocket expenses incurred by the Agents in connection with this Amendment and Waiver, including the fees, charges and disbursements of counsel.

Amendment. This Agreement may be amended, in whole or in part and in any manner not inconsistent with the provisions of the Plan, at any time and from time to time, by written agreement between the Company and the Grantee.

Amendment. This Agreement may be amended or modified only by a written instrument executed by both the Albany and the Employee.

Amendment. This Agreement may be amended only in writing and only if such writing is signed by the Executive and by the CEO.
