Amendment. Receipt by the Administrative Agent of executed counterparts of this Amendment properly executed by a Responsible Officer of each Loan Party, each Refinancing Lender and the Administrative Agent.

Amendment. Receipt by the Administrative Agent of executed counterparts of this Amendment properly executed by a Responsible Officer of each Loan Party and the Administrative Agent on its own behalf and on behalf of each Refinancing Lender.

Receipt by the Administrative Agent of executed counterparts of this Amendment properly executed by a Responsible Officer of each Loan Party and the Administrative Agent on its own behalf and on behalf of each Lender holding a portion of the Tranche B-2 Term Loan that delivers a consent to this Amendment in the form of Exhibit A attached hereto.

Amendment. The Administrative Agent shall have received counterparts of this Amendment duly executed by the Company, the Administrative Agent and the Increasing Lenders (which must comprise the Required Lenders).

The Administrative Agent shall have received counterparts of this Amendment duly executed by the Borrowers, the Required Lenders and the Administrative Agent.

The Administrative Agent (or its counsel) shall have received # a counterpart of this Amendment, executed and delivered by a Responsible Officer of the Borrower and # a counterpart of this Amendment, executed and delivered by the Administrative Agent.
