SECTION # Ratification of Agreement. Except as specifically amended, modified or supplemented by this Amendment, the Purchase Agreement is hereby confirmed and ratified in all respects and shall remain in full force and effect. This Amendment shall not constitute a novation of the Purchase Agreement, but shall constitute an amendment thereof. Each of the parties to the Purchase Agreement agrees to be bound by the terms of the obligations of the Purchase Agreement, as amended by this Amendment, as though the terms and obligations of such agreement were set forth herein.

The parties hereto hereby agree that, except as specifically amended herein, the Note Purchase Agreement is and shall continue to be in full force and effect and is hereby ratified and confirmed in all respects. All references in the Note Purchase Agreement and other documents related thereto shall be references to the Note Purchase Agreement as amended by this Amendment. Except as specifically provided herein, the execution, delivery and effectiveness of this Amendment shall not operate as a waiver of any right, power or remedy of any party hereto under the Note Purchase Agreement, or constitute a waiver of any provision of any other agreement.

Section # Ratification of Agreement. As amended by this Amendment, the Agreement is in all respects ratified and confirmed by all of the parties and the Agreement as amended by this Amendment shall be read, taken and construed as one and the same instrument. All references to the Agreement shall be deemed to mean the Agreement as amended hereby. This Amendment shall not constitute a novation of the Agreement, but shall constitute an amendment thereof. The parties hereto agree to be bound by the terms and conditions of the Agreement as amended by this Amendment.
