Amendment to Definition of “Materials”. [Section 1.24] of the License Agreement is hereby deleted in its entirety and replaced with the following:

Amendment to Definition of “Proceeds”. Eiger and PRF agree that the last sentence of [Section 6(b)] of the Agreement is hereby deleted in its entirety and replaced with the following:

Landlord hereby represents that there are no superior rights to any of the RFO Premises (as such term is hereinafter amended) as of the date of this Second Amendment.

Amendment of Definition. The following definition is hereby deleted in their entirety and replaced with the following:
