Amendment Fee. In consideration of the agreements set forth herein, Borrowers shall pay to Lender an amendment fee in the amount of $26,250 (the “Amendment Fee”), which fee is non-refundable when paid and is fully-earned as of the date of this Amendment. The Amendment Fee shall be paid in full on the date of this Amendment.

Amendment Fee; Fee Letter. In consideration of the financial and other accommodations set forth in Amendment No. 3, Borrowers shall pay # to Agent, for the ratable benefit of the Lenders, an amendment and modification fee (the “Amendment No. 3 Fee”) in the amount of $206,021.57, which Amendment No. 3 Fee shall be fully earned as of the Amendment No. 3 Effective Date, non-refundable, and shall be charged to operating account of the Borrowers maintained with Agent as of the Amendment No. 3 Effective Date; and # to Fifth Third the fees set forth in the Fifth Third Fee Letter (Amendment No. 3) with Agent.

Amendment of Fee. The Parties agree that, upon the Effective Date, [Section 4] of the Services Agreement, “Management Fee”, shall be amended to remove “$26,333 per month” in such Section and replace it with “$5,000 per month (the “Fee”).” 4. Amendment of Termination Provisions. The Parties agree that, upon the Effective Date, [Section 5(c)] of the Services Agreement shall be amended to:

Amendment to Fee Letter. The Fifth Amendment to Fee Letter, dated as of the date hereof, by and between Buyer and Seller.

Amendment to Fee Letter. The Second Amendment to Fee and Pricing Letter, dated as of the date hereof (the “Second Amendment of Fee Letter”), by and among Buyer and Sellers.

Amendment to Fee Letter. The First Amendment to Fee Letter, dated as of the date hereof (the “Fee Letter Amendment”), by and between Buyer and Seller.

Amendment to Fee Letter. The Third Amendment to Fee Letter, dated as of the date hereof, by and between Buyer and Sellers.

Amendment to Fee Letter. The Fourth Amendment to Fee Letter, dated as of the date hereof, by and between Buyer and Sellers.

Amendment to Fee Letter. The Fifth Amendment to Fee Letter, dated as of the date hereof, by and between Buyer and Sellers.

Amendment and Waiver Fee. In consideration of Lender’s agreement to enter into this Amendment and to provide Borrowers the accommodations contemplated hereunder, Borrowers shall pay to Lender, on the date hereof, a one-time fee in the amount of $25,000 (the “Amendment Fee”). Each Borrower acknowledges and agrees that the Amendment Fee shall be fully earned and non-refundable when due and that Lender may effect payment of the Amendment Fee by charging the full amount thereof to any deposit account maintained by any Borrower with Lender.
