Amendment Fee. The Borrower shall pay to the Lender a fee of $15,000 simultaneously with the execution of this Amendment.

Amendment Fee. The Facility Agent shall have received payment in full of any amendment fee agreed between the Borrower and the Facility Agent.

Amendment Fee. The Borrowers shall have paid to the Term Agent, for the ratable benefit of the Term Lenders, in Dollars, an amendment fee equal to 0.25% of the aggregate outstanding principal amount of the Term Loan (the “Amendment Fee”), which Amendment Fee shall be fully earned and payable on the Second Amendment Effective Date and shall not be refundable for any reason whatsoever; provided, that at the option of the Borrowers, the Amendment Fee may instead be added to the aggregate outstanding principal amount of the Term Loan.

Amendment Fee. In consideration of the waivers and amendments set forth herein, Borrowers shall on the date hereof, pay to Agent, for the account of Lenders, or Agent, at its option, may charge the loan account of Borrowers maintained by Agent, an amendment fee in the amount of $225,000, which fee is fully earned and payable as of the date hereof and shall constitute part of the Obligations.

Amendment Fee. In consideration of the changes set forth herein and as a condition to the effectiveness hereof, immediately upon signing this Amendment Borrower shall pay to Bank a non-refundable fee of $5,000.00. Borrower hereby authorizes Bank to debit Borrower’s account number xxxxxxxxx4183 with Bank for the payment of such fee.

Amendment Fee. In consideration for the execution of the First Amendment, Licensee shall pay Licensor a fee of # eighty million dollars ($80,000,000) upon the First Amendment Effective Date; # thirty million dollars ($30,000,000) on the first anniversary of the First Amendment Effective Date; # thirty million dollars ($30,000,000) on the second anniversary of the First Amendment Effective Date; # ​ upon AAV9 Products sold by Licensee, its Affiliates or Sublicensees first achieving cumulative Net Sales of ​, payable within ​ after the end of the Calendar Quarter in which such milestone is achieved; and # ​ upon [[Unknown Identifier]] Products sold by Licensee, its Affiliates or Sublicensees first achieving cumulative Net Sales of ​, payable within ​ after the end of the Calendar Quarter in which such milestone is achieved. In the event of a Change of Control and to the extent that payments [(ii), (iii) or (iv) above] have not been received by Licensor from Licensee, Licensee, at Licensor’s option, shall pay Licensor any unpaid amounts recited in (ii), (iii) or (iv), irrespective of cumulative Net Sales of [[Unknown Identifier]] Products, within ​ of the Change of Control.

Amendment Fee. An amendment fee of $100,000 shall be paid in kind and added to the aggregate outstanding principal amount of the Term Loan for the ratable benefit of the Term Lenders (the “Amendment Fee”), which Amendment Fee shall be fully earned on the Third Amendment Effective Date and shall not be revocable for any reason whatsoever.

Amendment Fee. U.S. Borrower shall pay to Agent (for the Pro Rata benefit of the Lenders) a fee equal to 0.10% of the Revolver Commitments (the “Amendment Fee”), which fee shall be fully earned, due and payable upon the execution hereof by the Lenders and Agent.

Amendment Fee. In consideration of the amendments set forth herein, Borrowers shall on the date hereof, pay to Agent, for the account of Lenders, or Agent, at its option, may charge the loan account of Borrowers maintained by Agent, an amendment fee in the amount of $480,000, which fee is fully earned and payable as of the date hereof and shall constitute part of the Obligations.

Amendment Fee. No later than December 31, 2018, [[MannKind:Organization]] shall pay Amphastar an amendment fee in the amount of US $2.0 million (the “Amendment Fee”).
