Modification. This Agreement and the Plan constitute the entire agreement of the parties with respect to the subject matter hereof. The Committee may amend, modify or terminate this Agreement in accordance with [Section 17] of the Plan, provided that no such amendment or modification shall adversely affect the right of the Participant under this Agreement without the Participant’s written consent other than as set forth in [Section 17(b)] of the Plan.

Entire Agreement; Amendment. The Committee may amend,shall have the right, in its sole discretion, to modify or terminateamend this Agreement from time to time in accordance with [Section 17] ofand as provided in the Plan, provided that no such amendmentPlan. Entire Agreement; Amendment and Termination. This Agreement andcontains the entire understanding of the parties. No amendment or termination of this Agreement that would be adverse to the rights of the Participant shall be made by the Board, the Committee or the Plan constituteAdministrator at any time without the entire agreementwritten consent of the parties with respect to the subject matter hereof. The Committee may amend, modifyParticipant. No amendment or terminate this Agreement in accordance with [Section 17]termination of the Plan, provided that no such amendment or modification shallPlan will adversely affect the rightright, title and interest of the Participant under this Agreement or to the Award granted hereunder without the Participant’s written consent other than as set forth in [Section 17(b)] of the Plan.Participant.
