Waiver and Amendment. Any provision of this Note may be amended or modified upon the written consent of [[Organization B:Organization]] and [[Organization A:Organization]]. Any waiver of any provision of this Note must be in a written form duly executed by [[Organization B:Organization]] or [[Organization A:Organization]] against whom such waiver is to be enforced.

Waivers and Amendments. Any provision of this Agreement may be amended, waived or modified only upon the written consent of [[Organization B:Organization]] and [[Organization A:Organization]].

Waiver and Amendment. Any provision of this Note may be amended, waived or modified upon the written consent of the Company and the [[Organization A:Organization]]. [[Organization A:Organization]] acknowledges and agrees that any provision of this Note may also be amended or waived by the written consent of the Company and the Requisite Holders as provided in Section 6.6 of the Purchase Agreement.

Waiver. Any waiver by [[Organization A:Organization]] or the Holder of a breach of any provision of this Note shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Note. The failure of [[Organization A:Organization]] or the Holder to insist upon strict adherence to any term of this Note on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Note on any other occasion. Any waiver by [[Organization A:Organization]] or the Holder must be in writing.

No provision of this Note may be waived or amended except in a written instrument signed, in the case of an amendment, by the [[Organization A:Organization]] and the Investor or, in the case of a waiver, by the party against whom enforcement of any such waiver is sought. No waiver of any default with respect to any provision, condition or requirement of this Note shall be deemed to be a continuing waiver in the future or a waiver of any subsequent default or a waiver of any other provision, condition or requirement hereof, nor shall any delay or omission of either party to exercise any right hereunder in any manner impair the exercise of any such right.

WAIVER. [[Organization A:Organization]] shall not be deemed to have waived any rights under this Note unless such waiver is given in a dated writing signed by [[Organization A:Organization]]. No delay or omission on the part of [[Organization A:Organization]] in exercising any right pursuant to this Note shall operate as a waiver of such right or any other right. A waiver by [[Organization A:Organization]] of any provision of this Note or of any rights against any individual, entity or collateral shall not prejudice or constitute a waiver of strict compliance of any other provision of this Note by any other individual or entity. No prior waiver by [[Organization A:Organization]] or course of dealing between [[Organization A:Organization]] and any individual or entity collectively constituting [[Organization B:Organization]] shall constitute a waiver of any rights of [[Organization A:Organization]] or of any obligations pursuant to this Note.
