5.8Amendment, Suspension and Termination. To the extent permitted by the Plan, this Option Agreement may be wholly or partially amended or otherwise modified, suspended or terminated at any time or from time to time by the Administrator or the Board; provided, however, that, except as may otherwise be provided by the Plan, no amendment, modification, suspension or termination of this Option Agreement shall adversely affect the Option in any material way without the prior written consent of the Optionee.

Effect of Amendment or Termination. To the extent permitted by the Plan, this Option Agreement may be wholly or partially amended or otherwise modified, suspended or terminated at any time or from time to time by the Administrator or the Board; provided, however, that, except as may otherwise be provided by the Plan, noNo amendment, modification,alteration, suspension or termination of this Option Agreementthe Plan shall adverselyimpair the rights of any Optionee, unless mutually agreed otherwise between the Optionee and the Administrator, which agreement must be in writing and signed by the Optionee and the Company. Termination of the Plan shall not affect the Option in any material way withoutAdministrator’s ability to exercise the powers granted to it hereunder with respect to Options granted under the Plan prior written consentto the date of the Optionee.such termination.

To the extent permitted byThe Board, in its sole discretion, may amend or terminate the Plan, this Option Agreement may be wholly or partially amended or otherwise modified, suspended or terminatedany part thereof, at any time or from time to time by the Administrator or the Board;and for any reason; provided, however, that, except as may otherwisethat if and to the extent required by law or to maintain the Plan’s compliance with the Code, the rules of any national securities exchange (if applicable), or any other applicable law, any such amendment shall be providedsubject to stockholder approval; and further provided, that no amendment shall permit the repricing, replacing or regranting of an Option either in connection with the cancellation of such Option or by amending an Award Agreement to lower the Plan, noexercise price of such Option. The amendment, modification, suspension or termination of this Option Agreementthe Plan shall adversely affect the Option in any material waynot, without the prior written consent of the Optionee.Participant, alter or impair any rights or obligations under any Award theretofore granted to such Participant. No Award may be granted during any period of suspension or after termination of the Plan.
