Amended Quarterly Reports. The Borrower shall have publicly filed with the SEC the Borrower’s amended Quarterly Report on Form 10-Q with respect to the quarterly period ended ​ and the Borrower’s Quarterly Report on Form 10-Q with respect to the quarterly period ended ​.

Amended Tax Returns. Unless otherwise required by applicable Law, Buyer will not cause or permit the Partnership to # file or amend or otherwise modify any Tax Return that relates in whole or in part to any Tax period that ends before the Closing Date, # make or change any election for, or that has any retroactive effect to, any Tax period that ends before the Closing Date, # voluntarily approach any Tax Authority with respect to any Tax period that ends before the Closing Date or any Taxes attributable to any such period, or # extend or waive the statute of limitations with respect to any Tax period that ends before the Closing Date, in each case without the prior written consent of Seller, which consent shall not be unreasonably withheld.

Amended Lease Payment. In [Section 9.06], ​, second paragraph, the parties agree that the second sentence shall be deleted and the following shall be inserted in lieu thereof:

Amended and Restated Definitions. Each of the following definitions set forth in [Section 1.01] of the Credit Agreement are hereby deleted in their entirety and the following inserted in lieu thereof, respectively:

Contracts Amended or Terminated. The following Company contracts shall have been amended, terminated or paid in full to Buyer’s satisfaction: # intercompany agreements between the Company on the one hand and Seller and its affiliates on the other hand; # the engineering contracts for the design of a new wastewater treatment plant to service Milton; and # all Seller’s financing arrangements, including, without limitation, with respect to lines of credit from PNC.

Amended or Terminated Contracts. Documentation demonstrating that the contracts identified in [Section 7(f)] above have been amended or terminated and all related payments have been made.

Amended and Restated Agreement. The Parties agree to execute an amended and restated version of the Decolar Outsourcing Agreement which is included as [Annex A]. Unless hereby amended the rest of the terms and conditions of the Decolar outsourcing Agreement shall remain in full force and effect.

AMENDED OR SUPPLEMENTED PROSPECTUS. The Stockholders agree that, upon receipt of any notice from the Company described in [Section 4.1] hereof that suspends an effective registration statement, the Stockholders shall forthwith discontinue disposition of Registrable Shares until such Stockholder’s receipt of copies of a supplemented or amended prospectus from the Company, or until it is advised in writing by the Company that the use of the prospectus may be resumed, and has received copies of any additional or supplemental filings which are incorporated by reference in the prospectus. If so directed by the Company, the Stockholders will deliver to the Company all copies of the prospectus covering such Registrable Shares current at the time of receipt of such notice of suspension.

Terms. All capitalized terms not defined herein shall have the meaning given to them in the Development Agreement.

Terms. The Committee may establish an Individual Award Opportunity for any Participant or group of Participants other than the Chief Executive Officer. The independent directors of the Board shall establish the Individual Award Opportunity for the Chief Executive Officer and, where applicable to the Chief Executive Officer, all references in this [Section 5] to the “Committee” shall be deemed to refer to the independent directors of the Board.
