Amended Terms. On and after the Amendment Effective Date, all references to the Loan Agreement in each of the Loan Documents shall hereafter mean the Loan Agreement as amended by this Amendment. Except as specifically amended hereby or otherwise agreed, the Loan Agreement is hereby ratified and confirmed and shall remain in full force and effect according to its terms.

Amended Terms. On and after the Amendment Effective Date, all references to the LoanCredit Agreement in each of the Loan Documents shall hereafter mean the LoanCredit Agreement as amended by this Amendment. Except as specifically amended hereby or otherwise agreed, the LoanCredit Agreement is hereby ratified and confirmed and shall remain in full force and effect according to its terms.

Amended Terms. OnThis Amendment is a Loan Document. The Loan Agreement as amended by this Amendment is hereby ratified, approved, confirmed, and aftercontinued in each and every respect, and the Amendment Effective Date, allparties hereto agree that the Loan Agreement remains in full force and effect in accordance with its terms. Nothing contained herein shall be construed to release, terminate or act as a novation of, in whole or in part, any Loan Document or any guaranty, lien, mortgage, deed, debenture, indenture, pledge or security interest granted pursuant thereto. All references to the Loan Agreement in each of the Loan Documents and in any other document or instrument shall hereafter meanbe deemed to refer to the Loan Agreement as amended hereby. The Loan Documents shall remain unchanged and in full force and effect, except as provided in this Amendment or in any agreement executed and delivered by this Amendment. Except as specifically amended hereby or otherwise agreed,the Lender in connection herewith, and the Loan Agreement isDocuments are hereby ratifiedratified, confirmed, and confirmed and shall remaincontinued in full force and effect accordingin all respects. This Amendment shall not be construed as a waiver or amendment of any other provision of the Loan Agreement or the other Loan Documents or for any purpose, except as expressly set forth herein, or a consent to its terms.any other, further or future action on the part of the Borrower or the other Credit Parties that would require the waiver or consent of the Lender.

Except as specifically amended hereby or otherwise agreed, the Loan Agreement is hereby ratified and confirmed and shall remain in full force and effect according to its terms.

Amended Terms. OnEach Loan Document, after giving effect to this Amendment, is and shall continue to be in full force and effect and is hereby in all respects ratified and confirmed, except that, on and after the Amendment Effective Date, all references to the Loan Agreementeffectiveness of this Amendment, each reference in each of the Loan Documents to the "Credit Agreement", "thereunder", "thereof" or words of like import referring to the Credit Agreement shall hereafter mean and be a reference to the Loan AgreementCredit Agreement, as amended byby, and after giving effect to, this Amendment. Except as specifically amended hereby or otherwise agreed, the Loan Agreement is hereby ratified and confirmed and shall remain in full force and effect according to its terms.

Amended Terms. OnNo Other Changes; Ratification. Except as expressly modified or waived hereby, all of the terms and afterprovisions of the Amendment Effective Date,Term Loan Agreement (including the schedules and exhibits thereto) and the other Loan Documents shall remain in full force and effect. The term “this Agreement” or “Term Loan Agreement” and all similar references to the Loan Agreementas used in each of the Loan Documents shall hereafter mean the Term Loan Agreement as amended by this Amendment. Except as herein specifically amended hereby or otherwise agreed, the Term Loan Agreement is hereby ratified and confirmed and shall remain in full force and effect according to its terms.
