Amended and Restated Agreement. The Parties agree to execute an amended and restated version of the Decolar Outsourcing Agreement which is included as Annex A. Unless hereby amended the rest of the terms and conditions of the Decolar outsourcing Agreement shall remain in full force and effect.

The Seller, U.S. Bank, and the Agent are parties to an Amended and Restated Master Repurchase Agreement dated as of ​ (as amended by that certain First Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, that certain Second Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, that certain Third Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, that certain Fourth Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, that certain Fifth Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, that certain Sixth Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, and that certain Seventh Amendment to Amended and Restated Master Repurchase Agreement dated as of ​, and as further amended, restated or otherwise modified from time to time, the “Repurchase Agreement”).

The Original Credit Agreement was amended and restated (as so amended and restated, the “First Amended and Restated Credit Agreement”) as of November 1, 2015 (the “First Restatement Effective Date”).

Lender and Borrower amended and restated the Second Amended Loan Agreement by the Third Amended and Restated Loan Agreement dated as of ​ (the “Third Amended Loan Agreement”) and Borrower delivered to Lender in connection therewith the Second Amended and Restated Revolving Credit Note.

THIS AGREEMENT is the amended and restated form of a facility agreement originally dated ​ and as amended and restated on ​, ​ and, ​ as amended on ​ and as amended and restated on April 28 2017 and in its amended and restated form is made between:

“Agreement” shall mean this Amended and Restated First Lien Term Loan Credit Agreement, as amended and restated by Amendment and Restatement Agreement No. 1 on the First Restatement Effective Date and as may be further amended, amended and restated, modified, supplemented, extended or renewed from time to time.

“Agreement” means this Five Year Credit Agreement, as it may be amended, restated, amended and restated, supplemented or otherwise modified and in effect from time to time.

"Restated Facility Agreement" means the Existing Facility Agreement as amended and restated pursuant to this Agreement in the form set out in [Schedule 4] (Restated Facility Agreement).

The 2014 Relationship Agreement was subsequently amended and restated on ​ (the “2015 Relationship Agreement”) and further amended and restated on ​ (the “2020 Relationship Agreement”).

Bank and Borrower have entered into that certain Amended and Restated Loan and Security Agreement dated as of August 20, 2012, as amended by that certain First Amendment to Amended and Restated Loan and Security Agreement by and between Bank and Borrower dated as of February 15, 2013, that certain Consent and Second Amendment to Amended and Restated Loan and Security Agreement by and between Bank and Borrower dated as of May 31, 2013, that certain Third Amendment to Amended and Restated Loan and Security Agreement by and between Bank and Borrower dated as of August 7, 2013, and that certain Fourth Amendment to Amended and Restated Loan and Security Agreement by and between Bank and Borrower dated as of January 29, 2014 (as the same may from time to time be further amended, modified, supplemented or restated, the “Loan Agreement”).
