“Permitted Policy Amendment” means any change, alteration, expansion, amendment, modification, termination, restatement or replacement of the Investment Policies that is one of the following: # approved in writing by the Issuing Bank hereunder or, solelyAdministrative Agent (with the consent of the Required Lenders), # required by applicable law, rule, regulation or Governmental Authority, or # in whole or in part that has not or would not reasonably be expected to adversely affect the [[Unknown Identifier]] #DNDocID \* [[Unknown Identifier]]interests or remedies of the Administrative Agent or the Secured Parties under this Agreement or any Loan Document (for the avoidance of doubt, no change, alteration, expansion, amendment, modification, termination or restatement of the Investment Policies shall be deemed “adverse” if investment size proportionately increases as the size of the Borrower’s capital base changes).
