Contracts establishing any joint venture, partnership, strategic alliance, sharing of profits or proprietary information or other collaboration or otherwise relating to the acquisition by Seller of any operating business or material assets or the capital stock of any other Person;

Supplier shall take all measures necessary to ensure the security of Supplier’s data, as described in the Data Security provision (Section 25) of this Agreement. Further, Supplier shall comply with the current online Privacy Alliance’s privacy guidelines (available at http://www.privacyalliance.org/ ).

Financing Transactions. Provider shall cooperate with Manager so that Manager can arrange necessary financing for Provider and for Manager relating to the Management Services provided by Manager to Provider.

“Dealer Manager Fee” means the dealer manager fee paid with respect to the sale of Shares to the Dealer Manager for serving as the dealer manager of an Offering.

“Qualified Manager” means either # Manager as of the Closing Date or # any replacement manager Approved by the Agent.

Accounting Manager / Human Resources Manager

“Dealer Manager Fees” shall mean the dealer manager fee payable to the Dealer Manager as described in the Prospectus.

Resignation of Director, Officer and Manager Positions. To the extent Employee has retained any director, officer and/or manager positions with the Company subsequent to Employee’s termination of employment, and to the extent Employee has not already done so, Employee, by executing this Agreement on the date set forth below, hereby resigns, effective immediately, from any and all director, officer and manager positions with the Company.
