Permits, Etc. Except as set forth on [Schedule 4.10] hereto, each Credit Party and its Subsidiaries # has obtained all material Environmental Permits necessary for the ownership and operation of its Properties and the conduct of its businesses; # is in material compliance with all terms and conditions of such Permits and with all other material requirements of applicable Environmental Laws; # has not received written notice of any material violation or alleged material violation of any Environmental Law or Environmental Permit that has not been resolved; and # is not subject to any actual or contingent Environmental Claim which could reasonably be expected to cause a Material Adverse Change.

The Credit Parties and their Subsidiaries have obtained all material permits, licenses, certificates or authorizations required under Environmental Law (collectively, “Environmental Permits”) and necessary for the conduct of their businesses and operations, and the ownership, operation and use of their Real Property. The Credit Parties and their Subsidiaries are in material compliance with the terms and conditions of such Environmental Permits, and all such Environmental Permits are valid and in good standing.

Except for the matters set forth on [Schedule 3.6], and except as could not reasonably be expected to have a Material Adverse Effect, to the knowledge of the Credit Parties, none of the Credit Parties nor any Material Foreign Subsidiary # has failed to comply with any Environmental Law or to obtain, maintain or comply with any permit, license or other approval required under any Environmental Law, # has, to the knowledge of any Credit Party, become subject to any Environmental Liability, # has received written notice of any claim with respect to any Environmental Liability or # knows of any basis for any Environmental Liability.

Each of the Credit Parties and their respective Subsidiaries have obtained, or have applied in a timely manner for, all permits, approvals and authorizations required for the conduct of their businesses and operations, and the ownership, operation and use of their Property, under Environmental Law (“Environmental Permits”), and all such Environmental Permits are valid and in good standing;
