The agreement of the Parties to arbitrate covers all disputes of every kind arising out of or relating in any way to this Agreement, any related agreement or any of the transactions contemplated by this Agreement. Disputes, excluding, however, claims for injunctive relief (as set forth in paragraph 3 above), but specifically including, without limitation, actions for breach of contract with respect to this Agreement or the related agreement, as well as any claim based upon tort or any other causes of action relating to the transactions contemplated by this Agreement, such as claims based upon an allegation of fraud or misrepresentation and claims based upon a federal or state statute. In addition, the arbitrators selected according to procedures set forth below shall determine the arbitrability of any matter brought to them, and their decision shall be final and binding on the Parties.
