Agreement Subject to the Plan. The Stock Award granted under this Agreement and all of the terms and conditions hereof are subject to all of the terms and conditions of the Plan. Capitalized terms in this Agreement may be defined herein, defined in the Plan, or defined in both places. In the event of any inconsistency between this Agreement and the Plan, the terms of the Plan will govern. The Committee acting pursuant to the Plan, as constituted from time to time, shall, except as expressly provided otherwise herein, have the right to determine any questions which arise in connection with the Stock Award or its vesting.

This Agreement, and all awards and payments made under this Agreement, shall be administered, interpreted and applied in compliance with the requirements of Section 409A or an exemption thereto. Without limiting the generality of the foregoing, in order to comply with Section 409A, the determination of “Fair Market Value” of a share of Common Stock on any given date for purposes of this Agreement shall be, for so long as the Common Stock is readily tradable on an established securities market, the closing price on such date reported for the Common Stock by the securities market on which the Common Stock is admitted for trading, or, if such date is not a trading day, on the last trading day before such date.

This Agreement and the rights and obligations of the parties hereto are subject to and governed by the terms of the Plan as the same may be amended from time to time, the provisions of which are incorporated by reference into this Agreement.
