Agreement Not to Solicit or Hire Employees or Contractors. During the Restricted Period (defined below), Executive will not, directly or indirectly, solicit, hire or engage any person who is then an employee or contractor of the Company or who was an employee of the Company at any time during the immediately preceding six (6) month period (or, following Executive’s termination of employment, at any time during the six (6) month period immediately preceding Executive’s termination of employment), in any manner or capacity, including without limitation as a proprietor, principal, agent, partner, officer, director, stockholder, employee, member of any association, consultant or otherwise, or otherwise directly or indirectly request, advise or induce any then current employee or contractor of the Company to terminate or otherwise adversely change its relationship with the Company.
During the Restricted Period, the Executive will not, directly or indirectly, in any manner: # hire or engage, or recruit, solicit or otherwise attempt to employ or retain or enter into any business relationship with, any Person who is or was an employee of or consultant to or its Affiliates within the twelve (12) month period immediately preceding the termination of Executive’s employment, # induce or attempt to induce any person who is or was an employee of, or consultant to, or its Affiliates within the twelve (12) month period immediately preceding the termination of Executive’s employment, to leave the employ of or the relevant Affiliates, or in any way interfere with the relationship between , its Affiliates and any of their employees or consultants, # employ or retain or enter into any business relationship with any person who was an employee of or consultant to or its Affiliates within the twelve (12) month period immediately preceding the termination of Executive’s employment, or # recommend the hiring of, or provide a reference for any person who was an employee of or consultant to or its Affiliates (provided, however that the Executive may hire former employees and consultants to and its Affiliates after such former employees or consultants have ceased to be employed or otherwise engaged by or its Affiliates for a period of at least twelve (12) months).
During the Restricted Period, and for a period of one (1) year thereafter, the Executive shall not, without the express prior written consent of the Company, directly or indirectly, # solicit or assist any third party in soliciting for employment any person employed by the Company or any of its subsidiaries at the time of the termination of the Executive’s employment (collectively, “Employees”), # employ, attempt to employ or materially assist any third party in employing or attempting to employ any Employee, or # otherwise act on behalf of any Competitor to interfere with the relationship between the Company or any of its subsidiaries and their respective Employees.
During Non-Solicitation Restricted Period, Executive agrees to not, directly or indirectly, as an equity holder, member, partner, proprietor, director, manager, officer, employee, consultant, investor or in any other capacity, # hire, solicit or otherwise participate in the solicitation, hiring or recruitment of, whether as an employee, consultant or otherwise, any Person who is, or within the twelve (12)-month period immediately preceding the date of such solicitation, hiring or other participation in the solicitation, hiring or recruitment was, an employee, consultant or independent contractor of the Company, or # take any actions intended to persuade any employee, consultant or independent contractor of the Company to terminate his or her association with the Company; provided that general solicitations of employment published in a journal, newspaper or other publication of general circulation or listed on any internet job site and not specifically directed towards such employees shall not be deemed to constitute solicitation for purposes of this Section 6(e)(ii) so long as Executive does not hire, attempt to hire or participate in the hire or attempt to hire any such Person who responds to such solicitations.
During the Restricted Period, and for a period of one year thereafter, shall not, without the express prior written consent of , directly or indirectly, # solicit or assist any third party in soliciting for employment any person employed by or any of its subsidiaries at the time of the termination of ’s employment (collectively, “Employees”), # employ, attempt to employ or materially assist any third party in employing or attempting to employ any Employee, or # otherwise act on behalf of any Competitor to interfere with the relationship between or any of its subsidiaries and their respective Employees.
During Executive’s employment and for the Restricted Period, Executive shall not solicit, entice, encourage, or induce (or attempt to do so, directly or indirectly), any employee of the Company to leave or terminate his or her employment with the Company or to establish a relationship with a Competitor. This [Article 6.3] shall apply to the then-current employees of the Company and any individual who was employed by the Company at any time in the forty-five (45) day period immediately prior to Executive’s last day of employment with the Company. If Executive violates this provision, then the duration of the restriction set forth in this provision shall be extended by the period of time during which Executive was not in compliance with this provision, provided that, except by order of a court of competent jurisdiction, this restriction shall not apply past the two-year anniversary of the last date of Executive’s employment with the Company.
Agreement Not to Solicit Others. During the Restricted Period (defined below), Executive will not, directly or indirectly, solicit, request, advise or induce any then current customer, supplier or other business contact of the Company to cancel, curtail or otherwise adversely change its relationship with the Company, in any manner or capacity, including without limitation as a proprietor, principal, agent, partner, officer, director, stockholder, employee, member of any association, consultant or otherwise.
Employee Non-Solicitation. During the Restricted Period, Employee shall not, directly or indirectly, except for the benefit of the Company, solicit or induce, or attempt to solicit or induce, any employee, contractor or consultant of the Company to terminate, reduce or otherwise alter to the detriment of the Company such person’s business relationship with the Company.
Executive agrees for the duration of the Restrictive Period, Executive will not, either individually or through or by any agent, representative, entity, employee or otherwise, solicit, encourage, contact, or attempt to induce any employees of # with whom Executive had regular contact with at the time of, or at any time during the 12 month period immediately prior to, the Date of Termination, and # who are employed by at the time of the encouragement, contact or attempted inducement, to end their employment relationship with .
that during the Restricted Period and within the Restricted Area, Executive will not # directly or indirectly recruit any employee of the Company to discontinue such employment relationship with the Company, or # employ or seek to employ, or cause to permit any business which competes directly or indirectly with the business of the Company to employ or seek to employ for any such business any person who is then (or was at any time within six months prior to the date Executive or the competitive business employs or seeks to employ such person) employed by the Company; and
