Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: # is or was a director, officer, employee or other fiduciary of the Company, the Parent or another affiliate of the Company; or # is or was serving at the request or for the convenience of, or representing the interests of, the Company, the Parent or another affiliate of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. References to “serving at the request of the Company” shall include, but not be limited to, any service as a director, officer, employee or agent of the Company or any other entity which imposes duties on, or involves services by, such director, officer, employee or agent with respect to an employee benefit plan, its participants or beneficiaries, including as a deemed fiduciary thereto.

References to “agent” of the Company meansshall mean any person who: #who is or was a director, officer, or employee of the Company or a subsidiary of the Company or other fiduciary ofperson authorized by the Company to act for the Company, the Parentto include such person serving in such capacity as a director, officer, employee, fiduciary or other official of another affiliate of the Company;corporation, partnership, limited liability company, joint venture, trust or # is or was servingother enterprise at the request orof, for the convenience of, or representingto represent the interests of, the Company, the Parent or another affiliate of the Company, asCompany or a director, officer, employee or other fiduciarysubsidiary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.the Company.
