Legal Opinion. The Administrative Agent shall have received the legal opinion of DLA Piper LLP, counsel for the Loan Parties, which opinion shall # be dated as of the Second Amendment Effective Date, # be addressed to the Agents and the [[Organization B:Organization]] and # cover such matters relating to the Amendment as the Administrative Agent may reasonably require. Each Loan Party hereby instructs such counsel to deliver such opinions to the Agents and the [[Organization B:Organization]].

Each Loan Party hereby instructs such counsel to deliver such opinions to the Agents and the [[Organization B:Organization]].

Legal Opinions of Counsel. The [[Administrative Agent:Organization]] shall have received an opinion or opinions (including, if requested by the [[Administrative Agent:Organization]], local counsel opinions) of counsel for the Loan Parties, dated as of the Third Amendment Effective Date and addressed to the [[Administrative Agent:Organization]] and the ​, in form and substance acceptable to the [[Administrative Agent:Organization]].

the Administrative Agent shall have received, on behalf of itself and each of the Lenders, a customary written opinion of Wilmer Cutler Pickering Hale and Dorr, LLP, in its capacity as counsel for the Amendment Loan Parties, dated as of the First Amendment Effective Date and addressed to the Administrative Agent and each of the Lenders;

the Administrative Agent shall have received, on behalf of itself and each of the Lenders, a customary written opinion of Wilmer Cutler Pickering Hale and Dorr, LLP, in its capacity as counsel for the Amendment Loan Parties dated as of the Second Amendment Effective Date and addressed to the Administrative Agent and the Incremental Revolving Lender;
