Affirmation. Except as specifically amended pursuant to the terms hereof, the Credit Agreement and all other Financing Documents (and all covenants, terms, conditions and agreements therein) shall remain in full force and effect, and are hereby ratified and confirmed in all respects by Borrowers. Each Borrower covenants and agrees to comply with all of the terms, covenants and conditions of the Credit Agreement (as amended hereby) and the Financing Documents notwithstanding any prior course of conduct, waivers, releases or other actions or inactions on Agent’s or any Lender’s part which might otherwise constitute or be construed as a waiver of or agreement to such terms, covenants and conditions.

Full Force and Effect of Agreement. Except as hereby specifically amended pursuant to the terms hereof,amended, modified or supplemented, each Borrower hereby acknowledges and agrees that the Credit Agreement and all of the other FinancingLoan Documents (andare hereby confirmed and ratified in all covenants, terms, conditionsrespects and agreements therein) shall remain in full force and effect,effect according to their respective terms. The execution, delivery and are hereby ratified and confirmed in all respects by Borrowers. Each Borrower covenants and agrees to comply with all of the terms, covenants and conditions of the Credit Agreement (as amended hereby) and the Financing Documents notwithstanding any prior course of conduct, waivers, releases or other actions or inactions on Agent’s or any Lender’s part which might otherwise constitute or be construed as a waiver of or agreement to such terms, covenants and conditions.respects.

Section # Confirmation of Loan Documents. Except as specifically amended pursuant toexpressly contemplated hereby, the terms hereof,terms, provisions, conditions and covenants of the Credit AgreementAgreement, as amended by this Amendment, and allthe other FinancingLoan Documents (and all covenants, terms, conditions and agreements therein) shall remain in full force and effect,effect and are hereby ratified and confirmedconfirmed, and the execution, delivery and performance of this Amendment shall not, except as expressly set forth in all respects by Borrowers. Each Borrower covenants and agreesthis Amendment, operate as a waiver of, consent to comply with allor amendment of any term, provision, condition or covenant thereof. Without limiting the generality of the terms, covenants and conditionsforegoing, except pursuant hereto or as expressly contemplated or amended hereby, nothing contained herein shall be deemed: # to constitute a waiver of compliance or consent to noncompliance by any Loan Party with respect to any term, provision, condition or covenant of the Credit Agreement (as amended hereby) and the Financing Documents notwithstanding any prior course of conduct, waivers, releases or other actions or inactions on Agent’s or any Lender’s part which might otherwiseother Loan Document; # to prejudice any right or remedy that the Administrative Agent or any Lender may now have or may have in the future under or in connection with the Credit Agreement or any other Loan Document; or # to constitute or be construed as a waiver of compliance or agreementconsent to suchnoncompliance by the Borrower with respect to the terms, provisions, conditions and covenants of the Credit Agreement and conditions.the other Loan Documents made the subject hereof.

The Credit Agreement, as specifically amended pursuant tohereby, and each of the terms hereof, the Credit Agreementother Loan Documents shall be and all other Financing Documents (and all covenants, terms, conditions and agreements therein) shall remain in full force and effect,effect in accordance with their respective terms and hereby are hereby ratified and confirmed in all respects by Borrowers. Each Borrowerrespects. The execution, delivery, and performance of this Amendment shall not operate, except as expressly set forth herein, as a modification or waiver of any right, power, or remedy of Agent or any Lender under the Credit Agreement or any other Loan Document. Except for the amendments to the Credit Agreement expressly set forth herein, the Credit Agreement and the other Loan Documents shall remain unchanged and in full force and effect. The modifications set forth herein are limited to the specifics hereof (including facts or occurrences on which the same are based), shall not apply with respect to any facts or occurrences other than those on which the same are based, shall neither excuse any future non-compliance with the Loan Documents nor operate as a waiver of any Event of Default or Unmatured Event of Default, shall not operate as a consent to any waiver, consent or further amendment or other matter under the Loan Documents, and shall not be construed as an indication that any future waiver or amendment of covenants and agrees to comply with all of the terms, covenants and conditionsor any other provision of the Credit Agreement (as amended hereby)will be agreed to, it being understood that the granting or denying of any waiver or amendment which may hereafter be requested by Borrower remains in the sole and absolute discretion of Agent and the Financing Documents notwithstanding​. To the extent that any prior courseterms or provisions of conduct, waivers, releasesthis Amendment conflict with those of the Credit Agreement or the other actions or inactions on Agent’s or any Lender’s part which might otherwise constitute or be construed as a waiverLoan Documents, the terms and provisions of or agreement to such terms, covenants and conditions.this Amendment shall control.
