Transactions with Affiliates. Directly or indirectly enter into or permit to exist any material transaction with any Affiliate of Co-Borrower, except for transactions that are in the ordinary course of Co-Borrower’s business, upon fair and reasonable terms that are no less favorable to Co-Borrower than would be obtained in an arm’s length transaction with a non-affiliated Person.

Transactions with Affiliates. Directly or indirectly enter into or permit to exist any material transaction with any Affiliate of Co-Borrower, except for # Borrower’s future equity financings, transactions that are in the ordinary course of Co-Borrower’s business, upon fair and reasonable terms that are no less favorable to Co-Borrower than would be obtained in an arm’s length transaction with a non-affiliated Person.Person and transactions permitted pursuant to the terms of Section 7.2 hereof.

Transactions with Affiliates. Directly or indirectlyBorrowers will not enter into any transaction, including (without limitation) the purchase, sale or permit to existexchange of property or the rendering or furnishing of any material transactionservice with any Affiliate of Co-either Borrower, except for transactions that are in the ordinary course of Co-Borrower’s business,the businesses of such Borrower and upon fair and reasonable terms that are no less favorable to Co-Borrower than Borrowers would be obtainedobtain in an arm’s lengtha transaction for the same purpose with a non-affiliated Person.Person that is not an Affiliate of any of the Borrowers, including, without limitation, intercompany hedging agreements entered into between a Borrower and an Affiliate of a Borrower.

Transactions with Affiliates. Directly or indirectlyBorrower will not, and will not permit its Subsidiaries to, enter into any transaction or permit to exist any material transactionseries of related transactions with any Affiliate of Co-Borrower, except for transactions that areBorrower or any of its Subsidiaries, other than in the ordinary course of Co-Borrower’s business, upon fairbusiness and reasonableon terms that are no lessand conditions substantially as favorable to Co-Borrower thanor such Subsidiary as would reasonably be obtained by Borrower or such Subsidiary at that time in an arm’a comparable arm’s length transaction with a non-affiliated Person.Person other than an Affiliate, except that:
