Notwithstanding anything in this Agreement or the other Loan Documents to the contrary, Revolving Commitments, Revolving Exposure and Term Loans of any Lender that is at the time a Defaulting Lender shall not have any voting or approval rights under the Loan Documents and shall be excluded in determining whether all Lenders (or all Lenders of a Class), all affected Lenders (or all affected Lenders of a Class) or the Required Lenders have taken or may take any action hereunder (including any consent to any amendment or waiver pursuant to this [Section 9.02]); provided that # the Commitment of any Defaulting Lender may not be increased or extended without the consent of such Lender and # any waiver, amendment or modification requiring the consent of all Lenders or each affected Lender that affects any Defaulting Lender more adversely than other affected Lenders shall require the consent of such Defaulting Lender.

such Defaulting Lender shall not have the right to vote on any issue on which voting is required (other than to the extent expressly provided in [Section 9.02(b)]) and the Commitment and Revolving Exposure of such Defaulting Lender shall not be included in determining whether the Required Lenders have taken or may take any action hereunder (including any consent to any amendment, waiver or other modification pursuant to [Section 9.02]) or under any other Loan Document; provided, that, except as otherwise provided in [Section 9.02], this clause (b) shall not apply to the vote of a Defaulting Lender in the case of an amendment, waiver or other modification requiring the consent of such Lender or each Lender directly affected thereby;

the Revolving Commitments and Revolving Exposure of such Defaulting Lender shall not be included in determining whether the Required Lenders or any other requisite Lenders have taken or may take any action hereunder or under any other Loan Document (including any consent to any amendment, waiver or other modification pursuant to [Section 9.02]); provided that any amendment, waiver or other modification requiring the consent of all Lenders or all Lenders affected thereby shall, except as otherwise provided in [Section 9.02], require the consent of such Defaulting Lender in accordance with the terms hereof;

such Defaulting Lender shall not have the right to vote on any issue on which voting is required (other than to the extent expressly provided in [Section 9.02(b)]) and the Commitment and Revolving Credit Exposure of such Defaulting Lender shall not be included in determining whether the Required ​ have taken or may take any action hereunder (including any consent to any amendment, waiver or other modification pursuant to [Section 9.02]) or under any other Loan Document; provided, that, except as otherwise provided in [Section 9.02], this clause (b) shall not apply to the vote of a Defaulting Lender in the case of an amendment, waiver or other modification requiring the consent of such Lender or each Lender directly affected thereby;

the Commitments and Revolving Credit Exposures of such Defaulting Lender shall not be included in determining whether the Required Lenders or any other requisite Lenders have taken or may take any action hereunder or under any other Loan Document (including any consent to any amendment, waiver or other modification pursuant to [Section 10.02]); provided, that, except as otherwise provided in [Section 10.02], this [clause (c)] shall not apply to the vote of a Defaulting Lender in the case of an amendment, waiver or other modification requiring the consent of each Lender or each Lender affected thereby;

such Defaulting Lender’s Commitments, Revolving Facility Credit Exposure and Term Loans shall not be included in determining whether the Required Lenders or any other requisite Lenders have taken or may take any action hereunder (including any consent to any amendment, waiver or other modification pursuant to [Section 9.08]); provided that, except as otherwise provided in [Section 9.08], this clause (c) shall not apply to the vote of a Defaulting Lender in the case of any amendment, waiver or other modification requiring the consent of each Lender or each Lender adversely affected thereby;

the Revolving Loan Commitment, Revolving Credit Obligations, Term Loan Commitment and Term Loans of such Defaulting Lender shall not be included in determining whether the Required Lenders or Required Revolving Loan Lenders have taken or may take any action hereunder (including any consent to any amendment, waiver or other modification pursuant to Section 9.3); provided, that, except as otherwise provided in [Section 9.3(C)], this clause (B)(v) shall not apply to the vote of a Defaulting Lender in the case of an amendment, waiver or other modification requiring the consent of such Lender or each Lender directly affected thereby.
