Advice of Counsel; Time to Consider; Revocation. Consultant acknowledges the following:
Right to Counsel/Time to Consider. You acknowledge that you have been advised in writing to, and have had the opportunity to, consult with counsel of your choice concerning the terms and conditions of this [Exhibit B] and that you have been provided with at least fourteen (14) days to review and consider this [Exhibit B] prior to accepting it.
Advice of Counsel. Evelo and Biose have each consulted counsel of their choice regarding this Agreement, and each acknowledges and agrees that this Agreement shall not be deemed to have been drafted by one Party or another and shall be construed accordingly.
Executive acknowledges that during the negotiation of this Agreement, Executive has retained or has been advised to retain counsel of Executive’s choosing who has provided or will provide advice to Executive in connection with the Executive’s decision to enter into this Agreement. Executive acknowledges that the Companies’ in-house and outside legal counsel have represented only the Companies in connection with the negotiation, drafting, and entering into of this Agreement and that Executive has not been provided nor has Executive relied upon any legal advice from the Companies’ in-house or outside legal counsel.
Advice of Counsel. Each of the Parties to this Agreement warrants and represents that in executing this Agreement such Party was encouraged to, and provided ample time to, consult with an attorney of the Party’s choice. The Parties acknowledge and represent that, in executing this Agreement, they have not relied on any inducements, promises, or representations other than those matters expressly set forth in this Agreement.
Advice of Counsel. The language in all parts of this Agreement shall be deemed to be the language mutually arrived at by the Parties, together with their respective counsel, and this Agreement shall not for this reason be construed against either Party by virtue of its role as the drafter thereof.
Executive acknowledges that Executive has been advised to consult with an attorney before signing this Release Agreement.
Revocation. Employee may revoke this Agreement for a period of seven (7) calendar days following the day Employee executes this Agreement. Any revocation within this period must be submitted, in writing, to and state, "I hereby revoke my acceptance of our Agreement and General Release." The revocation must be personally delivered or mailed to , [insert title] at , and delivered or postmarked within seven (7) calendar days of execution of this Agreement. This Agreement shall not become effective or enforceable until the revocation period has expired. If the last day of the revocation period is a Saturday, Sunday, or legal holiday, then the revocation period shall not expire until the next following day which is not a Saturday, Sunday, or legal holiday.
Revocation. I understand that I may revoke this Waiver and Release Agreement within 7 days after its signing and that any revocation must be made in writing and submitted within such 7-day period to PCS Administration (USA), Inc., 1101 Skokie Boulevard, Suite 400, [[Address A:Address]] Attn: Danielle Good, either in person or by mail with a postmark within the 7-day period. I further understand that if I revoke this Waiver and Release Agreement, my employment with the Company will still be terminated and I will not receive the severance pay set forth in paragraph 2 of the Letter Agreement.
Revocation. Executive further acknowledges that he understands that he has seven (7) days after signing this Agreement to revoke it by delivering to [[Person B:Person]]eral Counsel, , 8501 Williams Road, Estero, Florida 33928, written notification of such revocation within the seven (7)-day period. If Executive does not revoke this Agreement, this Agreement will become effective and irrevocable by him on the eighth day after he signs it (or, if later, the Termination Date). If Executive revokes this Agreement, Executive hereby acknowledges and agrees that this Agreement shall be null and void and of no further force and effect, and his termination of employment shall be treated as a resignation by him without good reason for all purposes.
