Documents - analyses, books, CD-ROMs, charts, comments, computations, designs, discs, diskettes, files, graphs, ledgers, notebooks, papers, photographs, plans, records, recordings, reports, memoranda, research notes, tapes and any other graphic or written data or other media on which Know How is permanently stored and other computer information storage means, and advertising and promotional materials of any nature whatsoever including preparatory materials for the same.
“Customer Communications” means any and all content, irrespective of medium, that is developed for communication with customers and/or Cardholders in connection with the Program, including general and targeted advertising, promotional and solicitation content that mentions the Program, Account servicing materials, Cardholder correspondence, and customer service documents and telephone scripts.
Agent is hereby granted an irrevocable, non-exclusive license or other right to use, license or sub-license (without payment of royalty or other compensation to any Person) any or all Intellectual Property of Borrowers, computer hardware and software, trade secrets, brochures, customer lists, promotional and advertising materials, labels, packaging materials and other Property, in advertising for sale, marketing, selling, collecting, completing manufacture of, or otherwise exercising any rights or remedies with respect to, any Collateral. Each Borrower’s rights and interests under Intellectual Property shall inure to Agent’s benefit.
Promotional Materials means all sales representative training materials and all written, printed, graphic, electronic, audio or video matter, including journal advertisements, sales visual aids, leave-behind items, formulary binders, reprints, direct mail, direct-to-consumer advertising, internet postings and sites and broadcast advertisements intended for use or used by or on behalf of either Party or their respective Affiliates in connection with any promotion of a Product.
Primary Product-Related Materials means all advertising and promotional materials (including but not limited to flyers, brochures, pamphlets and electronic media), labeling and packaging materials, and any materials or items similar to the foregoing to the extent, in each case, pertaining exclusively to any Primary Royalty Products in the Primary Field and in the possession or control of Primary or any Affiliate thereof, and all copyright and similar rights to the contents thereof, provided that the foregoing rights shall not include any rights to any trademark, logos, or the like other than Primary Product Trademarks.
professionals (to the extent not performed by sales representatives), including launch meetings; # costs of advertising and public relations with respect to a Product in the Shared Territory; # peer-to-peer activities with respect to a Product in the Shared Territory, such as lunch and learns; # promotional speaker programs with respect to a Product in the Shared Territory, including the training of such speakers; # developing, obtaining and providing training with respect to a Product in the Shared Territory, as well as training packages, promotional literature, promotional materials and other selling materials with respect to a Product in the Shared Territory; # developing and performing market research with respect to a Product in the Shared Territory and developing branding and communications plans; # conducting promotional symposia with respect to a Product in the Shared Territory; # developing reimbursement programs with respect to a Product in the Shared Territory; and # developing information specifically intended for national accounts, managed care organizations and group purchasing organizations with respect to a Product in the Shared Territory.
ACADIA and Neuren will disclose to each other any and all Promotional Materials created by the respective parties, and co‑operate with each other in relation to Promotional Materials to promote a reasonable level of consistency inside and outside of the Territory with respect to the Products; provided that ACADIA retains the right to modify any Promotional Materials in the Territory, at its sole discretion.

Legacy Product-Related Materials means # DAS Product-Related Materials and # all other advertising and promotional materials (including but not limited to flyers, brochures, pamphlets and electronic media), labeling and packaging materials, and any materials or items similar to the foregoing to the extent, in each case, pertaining exclusively to any Legacy Royalty Products in the Legacy Field and in (or coming into) the possession or control of Legacy or any Affiliate thereof upon or following any termination of any Downstream Agreement, and all copyright and similar rights to the contents thereof, provided that the foregoing rights shall not include any rights to any trademark, logos, or the like other than Legacy Product Trademarks.
