All Advances shall be disbursed from whichever office or other place [[Organization B:Organization]] may designate from time to time and, together with any and all other Obligations of [[Organization A:Organization]] to [[Organization B:Organization]] or Lenders, shall be charged to [[Organization A:Organization]]' Account on [[Organization B:Organization]]'s books. The agreement of Lenders to make any Advance requested to be made on any date (including the initial Advance), is subject to the satisfaction of the following conditions precedent as of the date such Advance is made:
#Any Specified Borrower may request Competitive Advance Loans by delivering a Competitive Advance Loan Request. The Applicable Administrative Agent shall notify each Bank promptly by facsimile transmission of the contents of each Competitive Advance Loan Request received by the Applicable Administrative Agent. Each Bank may elect, in its sole discretion, to offer irrevocably to make one or more Competitive Advance Loans to the Specified Borrower by delivering a Competitive Advance Loan Offer to the Applicable Administrative Agent.

Each Advance Request shall be deemed to constitute a representation and warranty by Borrower on the relevant Advance Date as to the matters specified in subsections [(b) and (c) of this Section 4.2] and as to the matters set forth in the Advance Request.”
“Competitive Advance Loan Offer”: with respect to any Competitive Advance Loan Request in any Currency, an offer from a Bank in respect of such Competitive Advance Loan Request, containing the information in respect of such Competitive Advance Loan Offer and delivered to the Person, in the manner and by the time specified for a Competitive Advance Loan Offer in respect of such Currency in the Administrative Schedule.

“LIBOR Auction Advance Request”: any CAF Loan Request requesting the CAF Loan to offer to make CAF Loans at an interest rate equal to the Applicable LIBOR Auction Advance Rate plus or minus a margin.
