Duties. During the Employment Term, Executive shall have such duties, authorities, and responsibilities commensurate with his positions and such other duties and responsibilities consistent with Executive’s positions as shall be determined from time to time by the Board of Directors of the Company (the “Board”) or the [[Organization A:Organization]] of the Company. Executive shall faithfully perform the duties of his employment and shall devote substantially all of his business time and attention to the performance of such duties. Executive will not engage in any other business, profession, or occupation for compensation or otherwise which would

Duties of Executive. During the Employment Term as defined in Paragraph 5, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time during normal working hours to the Company. Notwithstanding the foregoing, Executive shall be permitted to serve as a director on the boards of up to two companies, so long as such service does not interfere or conflict with Executive’s obligations hereunder and such directorships are not with competitors of the Company. Furthermore, Executive shall notify the Company’s Board of Directors at least forty-five (45) days prior to becoming a director of any other entity. Executive will report to the [[Organization A:Organization]] of the Company. Executive shall be responsible for duties typical of the office held by the Executive and as set out in Article V, [Section 27(f)] of the Company’s Bylaws, attached hereto as Exhibit “A”, and shall perform such other duties and projects as may be assigned by the [[Organization A:Organization]] of the Company or the Board of Directors of the Company that are consistent with his position. The Board of Directors shall grant the Executive all authorities necessary to perform and fulfill his responsibilities.

Employment and Duties. During the Employment Period, Executive will serve as the President and Chief Executive Officer of ​ and will report to the Board. Executive will have such duties and responsibilities as are commensurate with such position and such other duties and responsibilities commensurate with such position (including with the [[Organization A:Organization]]’s subsidiaries) as are from time to time assigned to Executive by the Board (or a committee thereof). During the Employment Period, Executive will devote his full business time, energy and skill to the performance of his duties and responsibilities hereunder, provided the foregoing will not prevent Executive from # serving as a non-executive director on the board of directors of non-profit organizations and other companies, # participating in charitable, civic, educational, professional, community or industry affairs, # managing his and his family’s personal investments, including in an advisory capacity related to current or potential investments or # such other activities approved by the Board from time to time; provided, that such activities individually or in the aggregate do not interfere or conflict with Executive’s duties and responsibilities hereunder, violate applicable law, or create a potential business or fiduciary conflict.

Duties and Responsibilities; Best Efforts. While employed by ​, Executive shall perform such duties for and on behalf of ​ as may be determined and assigned to Executive from time to time by the Chief Executive Officer of ​ or the Board. Executive shall devote Executive’s full time and best efforts to the business and affairs of ​. During the term of Executive’s employment with ​, Executive will not undertake other paid employment or engage in any other business activity without the prior written consent of the Board.

Duties and Responsibilities; Best Efforts. While employed by ​, Executive shall perform such duties for and on behalf of ​ as may be determined and assigned to Executive from time to time by the Chief Executive Officer of ​ or the Board. Executive shall devote his full time and best efforts to the business and affairs of ​. During the term of Executive’s employment with ​, Executive will not undertake other paid employment or engage in any other business activity without the prior written consent of the Board.

Performance of Duties. During Executive’s employment, Executive shall faithfully and diligently perform Executive’s duties in conformity with the directions of the President and Chief Executive Officer of the Company (or his/her designee) and serve the Company to the best of Executive’s ability in the Position. Executive shall devote Executive’s full business time, attention and best efforts to the business and affairs of the Company. In Executive’s capacity in the Position, Executive shall have such duties and responsibilities as are customary for Executive’s position and any other duties and responsibilities Executive may be assigned by the President and Chief Executive Officer (or his/her/their designee) of the Company.

The Executive shall, unless prevented by incapacity, devote all of his business time, attention and ability during normal corporate office business hours to the discharge of his duties hereunder and to the faithful and diligent performance of such duties and the exercise of such powers as may be assigned to or vested in him by the Board of Directors of the Company (the "Board") and the [[Organization C:Organization]] of the Company, all such duties to be consistent with his position. The Executive shall obey the lawful directions of the Board and the Company’s [[Organization C:Organization]], and the Executive shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof.

Duties. During the Term, Executive shall serve on a full-time basis as [—] for ​. Executive’s duties and responsibilities as [—] of ​ shall include those duties customarily associated with an officer with a similar title or as may be assigned to him from time to time by the Chief Executive Officer of ​. Executive shall be assigned to work primarily out of ​’s [—] office or any other Company office that is or will be located within 20 miles thereof (the “Primary Office Location”), it being understood and agreed that Executive shall be required to travel as necessary in the course of his employment. Executive shall devote his full business-time attention and energies and use his best efforts in his employment with ​; provided, however, that this Agreement shall not be interpreted as prohibiting Executive from managing his personal affairs or engaging in charitable or civic activities; so long as, in each case, such activities do not interfere in any material respect with the performance of Executive's duties and responsibilities hereunder and are in accordance with the policies and procedures of ​.

Duties. During the Term, Executive shall be employed by the Company as the Interim President and Chief Executive Officer of the Company, and, as such, Executive shall faithfully perform for the Company the duties of said offices and shall perform such other duties of an executive, managerial or administrative nature as shall be specified and designated from time to time by the Board. Executive shall report to the Board. Executive shall devote substantially all of his business time and effort to the performance of his duties hereunder, except that Executive may devote reasonable time and attention to civic, charitable, business or social activities so long as such activities do not interfere with Executive’s employment duties. Executive shall comply with the policies, standards, and regulations established from time to time by the Company. During the Term, Executive shall continue to serve as a member of the Board (provided, however, that Executive shall not serve on any committees of the Board) and the Company shall propose Executive for re-election to the Board at such times as shall be necessary for Executive to remain as a member of the Board throughout the Term. During the Term, Executive shall not receive any compensation in any form in his capacity as a member of the Board.

Executive agrees, subject to his election or appointment and without additional compensation, to serve during the Term in such additional offices of comparable stature, duty, power and responsibility in the Company’s subsidiaries as requested by the Board. Executive shall report solely and directly [[Organization A:Organization]] Board. During the Term, Executive shall devote all of his business time and attention [[Organization A:Organization]] performance of his duties hereunder (vacations and absences due to illness excluded) faithfully and [[Organization A:Organization]] best of his abilities and shall not engage in any other business, profession or occupation for compensation or otherwise which would conflict with the rendition of such services, without the prior written consent of the Board. Executive agrees to comply with (i) all laws, rules and regulations, and all requirements of all regulatory, self-regulatory, and administrative bodies, in each case applicable [[Organization A:Organization]]’s business; (ii) the Company’s promulgated rules, procedures, policies, and requirements; and (iii) lawful directions furnished to Executive by the Board.
