Indemnity of Plan Administration Employee. Notwithstanding the foregoing, the Company shall not indemnify and hold harmless any such person if # applicable law or the Company’s Articles of Incorporation or Bylaws prohibit such indemnification or # such person did not act in good faith and in a manner that such person believed to be consistent with the Plan or # such person’s conduct constituted gross negligence or intentional misconduct in the performance of his duties as a Plan Administration Employee.willful misconduct. The foregoing right of indemnification shall not be in addition toexclusive of any liability or obligation that any Employer may otherwise have to the Plan Administration Employee, and shall be in addition to all other rights of indemnification to which the Plan Administration Employeesuch persons may be entitled under the Company’s Articles of Incorporation or Bylaws, as a matter of law, contract,law or otherwise.otherwise, or under any other power that the Company may have to indemnify such person or hold him or her harmless.
