“German Law Security Documents” shall mean, collectively # the German Law Assignment Agreement, # the Share Pledge Agreement governed by German law dated on or about the Closing Date by ZTI in favor of Agent and Domestic Agent with respect to the Equity Interests in KeyMile, # the Share Pledge Agreement governed by German law dated on or about the Closing Date by KeyMile in favor of Agent and Domestic Agent with respect to the Equity Interests in KeyMile Networks GmbH, # the Account Pledge Agreement governed by German law dated on or about the Closing Date by KeyMile in favor of Agent and Domestic Agent, and # any other pledge agreement(s), assignment agreement(s), or other security documents governed by German law executed subsequent to the Closing Date by any Loan Party to create a Lien under German law in any assets or properties of such Loan Party to secure the Obligations, in each case as such agreement may be amended, modified, supplemented, renewed, restated or replaced from time to time.

Appointment of the Administrative Agent for the German Security Agreement. Notwithstanding [Sections 9.1 through 9.12], the Administrative Agent shall hold, administer and enforce any security interest which is assigned or transferred to it pursuant to the German Security Agreement as trustee or agent for the benefit of the Secured Parties and each Lender appoints the Administrative Agent to act on its behalf as trustee (Treuhänder) under German law with regard to any security interest created by the German Security Agreement.
