Set Off; Mitigation. The obligation of the Company or the Partnership to pay or provide the Employee the amounts or benefits under Section 3(a) of this Agreement shall not be subject to set-off, counterclaim or recoupment of amounts owed by the Employee to the Company or the Partnership. In addition, the Employee shall not be required to mitigate the amount of any payments or benefits provided to the Employee hereunder by securing other employment or otherwise, nor will such payments and/or benefits be reduced by reason of the Employee securing other employment or for any other reason.

Set Set-Off; Mitigation. The Employer’s obligation ofto make the Company or the Partnership to pay or provide the Employee the amounts or benefits under Section 3(a) ofpayments provided for in this Agreement or otherwise perform its obligations hereunder shall not be subject toaffected by any set-off, counterclaimoff or recoupment of amounts owed byclaim the Employee to the Company or the Partnership. In addition, theEmployer may have against Employee. Employee shall not be required to mitigate the amount of any paymentspayment provided for in this Agreement by seeking other employment or otherwise and, except as provided in [Sections 7(a)(ii) or 8(c)(ii)], no such payment shall be offset or reduced by the amount of any compensation or benefits provided to the Employee hereunder by securing other employment or otherwise, nor will such payments and/or benefits be reduced by reason of the Employee securing other employment or forin any other reason.subsequent employment.
