a Warrant registered in the name of such Purchaser to purchase up to a number of shares of Common Stock equal to 50% of such Purchaser’s Shares, with an exercise price equal to $0.55, subject to adjustment therein (such Warrant certificate may be delivered within three Trading Days of the Closing Date); and

a Warrant registered in the name of such Purchaser to purchase up to a number of shares of Common Stock equal to 66% of such Purchaser’s Shares, with an exercise price equal to $0.55, subject to adjustment therein (such Warrant certificate may be delivered within three Trading Days of the Closing Date); and

a Series II Warrant registered in the name of such Purchaser to purchase up to a number of shares of Common Stock equal to 100% of such Purchaser’s Shares, with an exercise price equal to $0.12, subject to adjustment therein (such Series II Warrant certificate may be delivered within three Trading Days of the Closing Date); and

a Series PP Warrant registered in the name of such Purchaser to purchase up to a number of shares of Common Stock equal to 100% of such Purchaser’s Shares, with an exercise price equal to $2.30, subject to adjustment therein (such Series PP Warrant certificate may be delivered within three Trading Days of the Closing Date); and

a Series A Warrant registered in the name of such Purchaser to purchase up to a number of shares of Common Stock equal to 50% of the sum of such Purchaser’s Shares and, if applicable, the Warrant Shares underlying such Purchaser’s Series B Warrants, with an exercise price equal to $1.21 per share, subject to adjustment therein;
