ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, that the consideration given for the waiver and release herein is in addition to anything of value to which you are already entitled, and that you have been advised, as required by the ADEA, that: # your waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; # you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); # you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign it earlier); # you have seven (7) days following the date you sign this Agreement to revoke the Agreement (by providing written notice of your revocation to the Company’s Chief Executive Officer); and # this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

Employee further acknowledge that: # your waiver and release doEmployee’s ADEA Waiver does not apply to any rights or claims that may arise after the date that you signEmployee executes this Agreement; # youEmployee should consult with an attorney prior to signingexecuting this Agreement (although you may choose voluntarily not to do so);Agreement; # you have twenty-one (21)Employee has 21 calendar days from the employment end date (the “Release Deadline”) within which to consider this Agreement (although youEmployee may choose voluntarily to sign itexecute this Agreement earlier); # youEmployee have seven (7)7 calendar days following the date you signexecution of this Agreement to revoke the Agreement (by providing written noticeEmployee’s execution of your revocation to the Company’s Chief Executive Officer);this Agreement; and # the execution of this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after Employee executes this Agreement provided that Employee has not revoked it. Employee agrees that any modifications, material or otherwise, made to this Agreement do not restart or affect in any manner the dateoriginal 21-day consideration period provided in this section. To revoke Employee’s execution of this Agreement, Employee must email the ​ notice of revocation at the email address listed below to the end of the 7-day period. Employee acknowledges that Employee’s execution of this Agreement is signed by you provided that you doknowing and voluntary. The offer to any amount beyond the Accrued Benefits described in [Section 2] of this Agreement will be automatically withdrawn if Employee does not revoke it (the “Effective Date”).execute this Agreement within the Release Deadline.

In the event Employee signs this Agreement and returns it to the Company in less than the 21-day period identified above, Employee hereby acknowledges that Employee has freely and voluntarily chosen to waive the time period allotted for considering this Agreement. Employee acknowledges and understands that revocation must be accomplished by a written notification to the person executing this Agreement on the Company’s behalf that is signed by you providedreceived prior to the Effective Date. The parties to this Agreement agree that youchanges, whether material or immaterial, do not revoke it (the “Effective Date”).restart the running of the 21-day period.

I acknowledge that you areI am knowingly and voluntarily agreeing to all of the terms and conditions set forth in this Release, including waiving and releasing any rights youI may have under the ADEA,ADEA. Wilson, Ph.D., J.D., ​’s President and Chief Executive Officer); and # this Agreement(v) the Separation Date Release will not be effective until the date upon which the revocation period has expired, unexercised, which will be the eighth calendar day after the date that this Agreement is signed by youI sign it provided that youI do not revoke itmy acceptance (the “Effective“Separation Date Release Effective Date”).
