ADEA Waiver and Release. Among the claims being released by Employee in this Agreement are claims under the Age Discrimination in Employment Act of 1967, as amended (“ADEA”), 29 U.S.C. [Sections 621-34]4]. Pursuant to and in compliance with the Older Workers Benefit Protection Act, 29 U.S.C. Section 626(f), Employee acknowledges that:

ADEA. Employee understands and acknowledges that Employee is waiving and releasing any rights Executive may have under the Age Discrimination in Employment Act of 1967 (“ADEA”), and that this waiver and release is knowing and voluntary. Employee understands and agrees that this waiver and release does not apply to any rights or claims that may arise under the ADEA after the date Executive signs this Agreement and General Release. Employee understands and acknowledges that the consideration given for this waiver and release is in addition to anything of value to which Employee was already entitled. Employee further understands and acknowledges that Employee has been advised by this writing that nothing in this Agreement prevents or precludes Executive from challenging or seeking a determination in good faith of the validity of this waiver under the ADEA, nor does it impose any condition precedent, penalties, or costs for doing so, unless specifically authorized by federal law.

ADEA. Executive acknowledges that Executive is knowingly and voluntarily waiving and releasing any rights Executive may have under the Federal Age Discrimination in Employment Act (“ADEA Waiver”) and that the consideration given for the ADEA Waiver is in addition to anything of value to which Executive is already entitled. Executive further acknowledges that: # Executive’s ADEA Waiver does not apply to any claims that may arise after Executive signs this Release; # Executive should consult with an attorney prior to executing this Release; # Executive has 21 calendar days within which to consider this Release (the “Deadline Date”), although Executive may choose to execute this Release earlier; # Executive has 7 calendar days following the execution of this Release to revoke the Release; and # this Release will not be effective until the eighth (8th) day after Executive signs this Release provided that Executive has not revoked it (the “Effective Date”). Executive agrees that any modifications, material or otherwise, made to this Release do not restart or affect in any manner the original 21-day consideration period provided in this section. To revoke the Release, Executive must provide a written notice of revocation to the Company prior to the end of the 7-day period. Executive acknowledges that Executive’s consent to this Release is knowing and voluntary. The offer described in this Release will be automatically withdrawn if Executive does not sign the Agreement within the 21-day consideration period.

ADEA. In further consideration of the payments and benefits provided to the Executive under this Agreement, the Executive, on behalf of himself and the other Releasors, hereby unconditionally releases and forever discharges the Releasees from any and all Claims arising under ADEA that the Releasors may have as of the date the Executive signs this Agreement. By signing this Agreement, the Executive hereby acknowledges and confirms the following: # the Executive was advised by the Company in connection with his resignation to consult with an attorney of his choice prior to signing this Agreement and to have such attorney explain to the Executive the terms of this Agreement, including, without limitation, the terms relating to the Executive’s release of claims arising under ADEA, and the Executive has in fact consulted with an attorney or chosen not to do so; # the Executive was given a period of not fewer than 21 days to consider the terms of this Agreement and to consult with an attorney of his choosing with respect thereto; # the Executive knowingly and voluntarily accepts the terms of this Agreement; and # the Executive is providing this release and discharge only in exchange for consideration in addition to anything of value to which the Executive is already entitled. The Executive also understands that he has 7 days following the date on which he signs this Agreement within which to revoke the release contained in this Section, by providing the Company with a written notice of his revocation of the release and waiver contained in this Section. Specifically, such written notice of revocation shall be provided to Peter N. Witty at [[Email]].

Executive understands and agrees that:

Specific Release of ADEA Claims. In further consideration of the Separation Pay and Separation Benefits provided to you in this Agreement, you hereby irrevocably and unconditionally fully and forever waive, release and discharge the Released Parties from any and all claims, whether known or unknown, from the beginning of time to the date of your execution of this Agreement, arising under the Age Discrimination in Employment Act (“ADEA”), as amended, and its implementing regulations, including the Older Workers’ Benefit Protection Act. By signing this Agreement, you hereby acknowledge and confirm that # you have read this Agreement in its entirety and understand all of its terms; # you have been advised of and have availed yourself of your right to consult with your attorney prior to executing this Agreement; # you knowingly, freely and voluntarily agree to all of the terms and conditions set out in this Agreement, including, without limitation, the waiver, release and covenants contained herein; # you are executing this Agreement, including the waiver and release, in exchange for good and valuable consideration in addition to anything of value to which you are otherwise entitled; # you were given at least twenty-one (21) days to consider the terms of this Agreement and consult with an attorney of your choice, although you may sign it sooner if desired; # you understand that you have seven (7) days from the date you sign this Agreement to revoke the release in this Section by delivering notice of revocation to Megan Kendrick, Vice President of Human Resources at [[Email]] by e-mail before the end of such seven (7)-day period; and # you understand that the release contained in this paragraph does not apply to rights and claims that may arise after the date on which you sign this Agreement. The parties agree that any changes to this Agreement, whether material or not, do not restart the running of the twenty-one (21)-day period.

Specific Release of ADEA Claims. In further consideration of the severance payments provided to the Associate in this Agreement, the Associate hereby irrevocably and unconditionally fully and forever waive, release and discharge the Releasees from any and all claims, whether known or unknown, from the beginning of time to the date of the Associate’s execution of this Agreement arising under the ADEA, as amended, and its implementing regulations. By signing this Agreement, the Associate hereby acknowledges and confirms that: # the Associate has read this Agreement in its entirety and understands all of its terms; # the Associate has been advised of and has availed himself/herself of the Associate’s right to consult with an attorney prior to executing this Agreement; # the Associate knowingly, freely and voluntarily assents to all of the terms and conditions set out in this Agreement including, without limitation, the waiver, release and covenants contained herein; # the Associate is executing this Agreement, including the waiver and release, in exchange for good and valuable consideration in addition to anything of value to which the Associate is otherwise entitled; # the Associate was given at least forty-five (45) days to consider the terms of this Agreement and consult with an attorney of the Associate’s choice, although Associate may sign it sooner if desired; # the Associate understands that the Associate has seven (7) days from the date that the Associate signs this Agreement to revoke the release in this paragraph by delivering notice of revocation to: Mike Gaydos, Human Resources Director, at [[Company:Organization]], 127 Industry Blvd, North Huntingdon, PA 15642, by overnight delivery before the end of such seven-day period; and # the Associate understands that the release contained in this paragraph does not apply to rights and claims that may arise after the date on which the Associate signs this Agreement. This Agreement shall not become effective, until the eighth (8th) day after the Associate and the Company execute this Agreement, provided the Associate does not revoke the Associate’s acceptance within the revocation period outlined herein. Such date shall be the Effective Date of this Agreement. No payments due to the Associate hereunder shall be made or begin before the Effective Date.

Specific Release of ADEA Claims. As of the Re-Execution Effective Date (as defined in [Appendix A]), you acknowledge and agree that you are hereby waiving and releasing any age Claims or rights you may have under ADEA through the Reaffirmation Date. In connection with this ADEA release, you agree that # you are hereby entering into this waiver and release knowingly and voluntarily, # this ADEA release does not apply to any rights or Claims that may arise under ADEA after the Reaffirmation Date, # the consideration given for this release of ADEA Claims is in addition to anything of value to which you were already entitled, and # you have been advised by this writing that:

Specific Release of ADEA Claims. In consideration of the payments and benefits provided to you under this Agreement, you hereby release and forever discharge the Company, its subsidiaries and affiliates and each of their officers, employees, directors and agents from any and all Released Claims that you may have as of the date you sign this Agreement arising under ADEA. By signing this Agreement, you hereby acknowledge and confirm the following: # you were advised by the Company in connection with your termination to consult with an attorney of your choice prior to signing this Agreement and to have such attorney explain to you the terms of this Agreement, including, without limitation, the terms relating to your release of claims arising under ADEA; # you have been given a period of not fewer than 45 days to consider the terms of this Agreement and to consult with an attorney of your choosing with respect thereto; # you are providing the release and discharge set forth in this Section10(b) only in exchange for consideration in addition to anything of value to which you are already entitled; # you will have seven days following your execution of this agreement to revoke your signature by notifying, in writing, [[Organization A:Organization]] [[Address A:Address]], Attention: [[Person B:Person]]irman; # this agreement will be effective as of the eighth day following the execution of this Agreement, assuming you have not delivered a revocation; and # you have received the disclosure required by the OWBPA and attached hereto as [Schedule C], identifying and comparing the job positions eliminated and retained in conjunction with this Agreement.

This Release will become effective and enforceable immediately once you sign and deliver it to Exact; provided, however, that the ADEA Release will become effective and enforceable on the first business day after the expiration of any seven-day revocation period for the ADEA Release (the “ADEA Release Effective Date”), provided you have not revoked the ADEA Release in accordance with this Section 2.
