Landlord's Consent to Alterations. Tenant may not make any improvements, alterations, additions or changes to the Premises or any mechanical, plumbing or HVAC facilities or systems pertaining to the Premises (collectively, the " XE "Alterations" Alterations") without first procuring the prior written consent of Landlord to such Alterations, which consent shall be requested by Tenant not less than thirty (30) days prior to the commencement thereof, and which consent shall not be unreasonably withheld, conditioned, or delayed by Landlord, provided it shall

“Natural Evolutions” means modifications, revisions, additions, enhancements, updates, upgrades, changes or similar alterations to an original product or service, in which the original product or service retains its essential character or remains identifiable.

Lessee may, at its sole expense, reimage the Premises and make such non-structural alterations and changes as Lessee shall deem necessary, provided, however, such alterations and changes shall neither impair the structural soundness nor diminish the value of the Premises provided Lessee first obtains the consent of the Lessor in writing. The purpose of this Agreement is to set forth the respective responsibilities of Landlord and Tenant with respect to (a) Landlord’s completion of the Base Building Improvements (as defined in Section 1.1 below) and (b) the design and construction of all alterations, additions and improvements that Tenant may deem necessary or appropriate to prepare the Premises for initial occupancy by Tenant under the Lease. Such alterations, additions and improvements to the Premises (other than the Base Building Improvements) are referred to in this Agreement as the “Tenant Improvements,” and the work of constructing the Tenant Improvements is referred to as the “Tenant Improvement Work.”

Alterations and Surrender. Subtenant will have the right to make non-structural modifications and alterations to the interior of the Sublet Portion with the prior written consent of Sublandlord, which shall not be unreasonably withheld. Sublandlord will inform Subtenant if an alteration must be removed at the Sublease expiration at the time consent for such alteration is granted. Subtenant shall at the end of the Term of this Sublease, surrender to Sublandlord the Sublet Portion and all alterations, additions, fixtures and improvements therein or thereto in the same condition as when received, ordinary wear and tear and damage thereto by fire or other casualty excepted, and otherwise in accordance with the terms of the Master Lease.
