Representations ARTICLE 6 ADDITIONAL COVENANTS

Third Party Representations. Each of the representations and the warranties made by Guarantor in the Environmental Indemnity, the Guaranty and (if applicable) any other Loan Documents to which Guarantor is a party are true, complete and correct in all material respects.

Additional Representations and Warranties of Commercializing Party. Commercializing Party represents and warrants to Licensor that, as of the Effective Date, Commercializing Party has not received notice of, nor is subject to, any adverse inspection, investigation, penalty, or other compliance or enforcement action that could reasonably be expected to have a material adverse effect on the Commercialization of the Products or other performance of its obligations under this Agreement.

Representations and Covenants. The representations and warranties of the ​ contained in this Agreement shall be true in all material respects on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date. The ​ shall have performed and complied in all material respects with all covenants and agreements required by this Agreement to be performed or complied with by the ​ on or prior to the Closing Date. The ​ shall have delivered to the Shareholder and ​, a certificate, dated the Closing Date, to the foregoing effect.

Representations and Covenants. The representations and warranties of MTWD contained in this Agreement shall be true in all material respects on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date. MTWD shall have performed and complied with all covenants or agreements required by this Agreement to be performed or complied with by

Third-Party Beneficiaries. Each member of the Company Group that is not a signatory hereto shall be a third-party beneficiary of Executive’s representations, covenants, and commitments set forth in [Sections 2, 6 and 17]7]7] hereto and shall be entitled to enforce such representations, covenants and commitments as if a party hereto.

Mutual Representations and Warranties. Each Party hereby represents and warrants as of the Effective Date, and covenants (as applicable) to the other Party as follows:

Representations and Warranties of the Credit Parties. To induce the Agent to execute and deliver this Amendment, each Credit Party represents, warrants and covenants that:

each Series of Additional Notes shall be dated the date of issue, bear interest at such rate or rates, mature on such date or dates, be subject to such mandatory and optional prepayment on the dates and at the premiums, if any, have such additional or different conditions precedent to closing, such representations and warranties and such additional covenants as shall be specified in the Supplement under which such Additional Notes are issued and upon execution of any such Supplement, this Agreement shall be amended # to reflect such additional covenants without further action on the part of the holders of the Notes outstanding under this Agreement, provided, that any such additional covenants shall inure to the benefit of all holders of Notes so long as any Additional Notes issued pursuant to such Supplement remain outstanding, and # to reflect such representations and warranties as are contained in such Supplement for the benefit of the holders of such Additional Notes in accordance with the provisions of [Section 16];

Representations of Additional Purchasers. Each Additional Purchaser shall have confirmed in the Supplement that the representations set forth in [Section 6] are true with respect to such Additional Purchaser on and as of the date of issue of the Additional Notes.
