Additional Provisions. In order to induce Purchaser to enter into this Agreement, the Company covenants and agrees that, the Company shall reimburse the Purchaser for all reasonable fees and expenses of Purchaser’s counsel, Kilpatrick Townsend & Stockton LLP (“KTS”), incurred in connection with preparation, negotiation of this Agreement and for any other outstanding fees and expenses of KTS required to be paid by the Company under the Note Documents, in each case, to the extent invoiced by KTS to the Purchaser. The foregoing fee and expense reimbursement provision is in addition to and not in limitation of the Company’s obligations to reimburse the Purchaser for all fees and expenses, including attorneys’ fees, incurred in connection herewith or otherwise upon demand in accordance with the provisions of [Section 10.3] of the Purchase Agreement. Further, each of the Obligors agrees that the failure of the Company to fully and timely comply with any of the covenants in this Section or with any other covenants, agreements or obligations of the Company or such other Obligor set forth in this Agreement shall constitute an immediate Event of Default. This Agreement constitutes a Note Document.

For the avoidance of doubt, consideration for the USIP II Interests shall be deemed paid by the USIP II Companies for purposes of Section 5 of the Asset Management Agreement among the USIP II Sellers (or their Affiliates) and GLP Investment Management Pte. Ltd., dated as of April 4, 2016, as amended or supplemented from time to time.

All questions concerning the construction, validity and interpretation of this Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to the choice of law principles thereof.

Additional Provisions. Riders, schedules and exhibits attached hereto, if any, are hereby incorporated into this Agreement as if set forth verbatim.

All questions concerning the construction, validity and interpretation of this Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to the choice of law principles thereof.

All provisions of the Plan not inconsistent with this Policy will apply to Awards granted to Outside Directors.

Subject to the provisions in the following paragraph, any amounts to be paid pursuant to this Section 3 shall be paid in accordance with Company’s existing payroll or bonus payment practices, as applicable, subject to applicable taxes and withholdings, provided that Employee’s first pay date will be March 15, 2022.

No delay on Secured Party's part in exercising any power of sale, lien, option or other right with respect to the Collateral, and no notice or demand which may be given to or made upon Debtor by Secured Party with respect to any power of sale, lien, option or other right with respect to the Collateral, shall constitute a waiver thereof, or limit or impair Secured Party's right to take any action or to exercise any power of sale, lien option, or any other right with respect to the Collateral without notice or demand, or prejudice Secured Party's rights as against Debtor in any respect.

Any amounts to be paid pursuant to this Section 4 shall be paid in accordance with the Company’s existing payroll or bonus payment practices, as applicable.

Additional Provisions. All provisions of the Plan not inconsistent with this Policy will apply to Awards granted to Outside Directors.
