Notwithstanding Section 16.1 or any other provision of this Agreement, the Parties do not intend to create a partnership under the laws of any jurisdiction, except the Parties intend to create a Tax Partnership, and the Parties shall take positions accordingly for accounting and tax purposes with any applicable Governmental Authority in any other jurisdiction in which any activities contemplated by this Agreement and associated agreements are undertaken. To the extent that the activities contemplated by this Agreement are treated in any such other jurisdiction as a partnership for purposes of computing Acadia’s or Stoke’s tax liability in such jurisdiction, the Parties agree that, to the extent permissible under the Applicable Laws of such jurisdiction, items of partnership income and deduction will be allocated [[Person A:Person]] in a manner that, as close as possible, places the Parties in the same position as if no deemed partnership were created.
