Additional Fees. Licensee may request that SmartLabs grant access to Additional Occupants, provided that Licensee first # submits a written request to SmartLabs requesting Additional Occupants; # Licensee receives written confirmation from SmartLabs granting access to Additional Occupants (which SmartLabs may withhold in its sole discretion); and # Licensee pays, in addition to the License Fee, an amount equal to $1,500 per month for each Additional Occupant.

Fees. All fees payable pursuant to the Commitment Letter or the Fee Letter, in each case dated as of May 7, 2021 by and among the Company and JPMCB, including the upfront fees (as detailed in the Fee Letter), shall have been paid by the Borrowers to each Lender.

Fees. No Person will have, as a result of the transactions contemplated by the Transaction Documents, any valid right, interest or claim against or upon the Purchaser for any commission, fee or other compensation pursuant to any agreement, arrangement or understanding entered into by or on behalf of the Company, and no Purchaser shall have any obligation with respect to any fees or with respect to any claims made by or on behalf of other Persons for fees of a type contemplated in this [Section 3.24] that may be due in connection with the transactions contemplated by the Transaction Documents.

Additional Documents/Fees. Such other approvals, opinions or documents as Lender may reasonably request.

Fees. Provider will charge each applicable BFA Recipient or BFA, on behalf of such BFA Recipient, for any Services rendered pursuant to this Agreement in accordance with the applicable terms and conditions set forth in [Schedule 1]-C (Commercial Terms Schedule). Provider will not charge any BFA Recipient or BFA, on behalf of such BFA Recipient, any implementation fees, except as set forth in [Schedule 1]-C (Commercial Terms Schedule).

Fees. The Borrowers shall pay to the Administrative Agent, for further distribution to the Lenders, an upfront fee in an amount equal to one half of one percent (0.50%) of the Facility, to be paid on or before the Original Effective Date.

Computation of Fees; Additional Terms Relating to Fees. In computing any fees payable under this [Section 2.5], the first day of the applicable period shall be included and the date of the payment shall be excluded. All fees payable under or in connection with this Agreement and the other Loan Documents shall be deemed fully earned when and as they become due and payable and, once paid, shall be non-refundable, in whole or in part.

Fees. The Borrowers shall have paid on or before the Effective Date # an amendment fee to the Administrative Agent, for the ratable benefit of the Lenders, in an amount equal to 50 basis points on the total amount of the Facility as of the Effective Date, which fee shall be deemed earned in full on the Effective Date and shall be nonrefundable, and # any outstanding fees due to the Creditors under the Credit Facility Agreement.

Fees for Additional Services. From time to time, we may agree to provide services other than the Services specifically described in this Agreement. These additional services may require additional fees, charges, or expenses that may be treated as Fees.
