Conditions Precedent. This Agreement shall become effective upon receipt by the Administrative Agent of counterparts of this Agreement, properly executed by the Borrower, the Co- Borrower and each Lender.

Conditions Precedent to Effectiveness. This Agreement shall not be effective until each of the following conditions precedent has been fulfilled prior to or concurrently herewith, each to the satisfaction of the Administrative Agent and the Required Lenders (such date, the “Agreement Effective Date”):

Condition Precedent. This Agreement shall become effective upon receipt by the Domestic Administrative Agent of executed counterparts of this Agreement properly executed by a Responsible Officer of each Credit Party, each Administrative Agent, each L/C Issuer, each Swing Line Lender, and each Lender.

SECTION # Conditions Precedent to Effectiveness. This Agreement shall become effective as of the date (the “Effective Date”) on which the Agent shall have executed this Agreement and received from the Borrower and each other Loan Party a counterpart of this Agreement signed on behalf of the Borrower and each other Loan Party (or written evidence satisfactory to the Agent (which may include a facsimile or other electronic transmission) that each of the Borrower and the other Loan Parties has signed a counterpart of this Agreement). The Agent shall notify the Borrower and the Lenders of the Effective Date, and such notice shall be conclusive and binding.
