[Section 9(a)(iii)] of the Nineteenth Amendment is hereby deleted in its entirety. The following is hereby added to [Section 9] of the Nineteenth Amendment (which section survives the expiration of the Nineteenth Amendment) as new [Sections 9(a)(iii)-9(a)(v)])] thereof:

Additional Compensation. During the employment term, Executive shall participate in the Company's Incentive Compensation Plan, as determined by the Board of Directors. The Company may also in its sole discretion, award equity in the form of Common Stock or Restricted Stock Units.

Additional Compensation Arrangements. Nothing contained in the Plan shall prevent the Company or any Subsidiary from adopting other or additional compensation arrangements for its employees, officers, directors or consultants.

Additional Compensation. During the Employment Period, in addition to the foregoing and the benefits and perquisites described in Section 4, the Executive shall be eligible to receive such other compensation as may from time to time be awarded him by the Compensation Committee, in its sole discretion.

Bonuses; Additional Compensation. Executive will be eligible to receive bonuses and to participate in compensation plans of the Employer in accordance with any plan or decision that the Board, or any committee or other person authorized by the Board, may in its sole discretion determine from time to time.

For the Employer’s 2021 fiscal year, Executive’s bonus will be equal to 50%, 100% and 150% of Base Salary for threshold, target and maximum levels of performance, respectively, and will be pro-rated for the period of Executive’s employment with the Employer during the fiscal year.

No Additional Compensation. Except as expressly provided in this Agreement, Employee is not entitled to any compensation, bonus, severance, or benefits from Company or its affiliates or any professional employer organization used by Company, under the Prior Employment Agreement or otherwise.

Additional Compensation. Tenant shall pay to Landlord, immediately upon receipt thereof, the excess of # all compensation received by Tenant for a Transfer less the actual out-of-pocket costs reasonably incurred by Tenant with unaffiliated third parties (i.e., brokerage commissions, legal fees and tenant finish work) in connection with such Transfer over # the Rent allocable to the portion of the Premises covered thereby.

Executive will be eligible to receive bonuses and to participate in compensation plans of the Employer in accordance with any plan or decision that the Board, or any committee or other person authorized by the Board, may in its sole discretion determine from time to time. For the Employer’s 2020 fiscal year, Executive’s bonus will be equal to 37.5%, 75% and 120% of Base Salary for threshold, target and maximum levels of performance, respectively, and will be pro-rated for the period of Executive’s employment with the Employer during the fiscal year.
