The Parties agree on the conditions of the LHON Research Program described in Exhibit 2A here-attached.

This employment contract addendum “Addendum” is made on April 1, 2022, (04/01/22) by and between:

All the terms and conditions of the Partnership Agreement that have not been modified by and that are not in contradiction to this Project Addendum 1 shall apply. Capitalized terms used in this Project Addendum 1 and not otherwise defined shall have the meaning ascribed to such terms in the Partnership Agreement. As of the Project Addendum 1 Effective Date, any reference to the Project Addendum 1 shall be deemed a reference to the Partnership Agreement as amended by this Project Addendum 1.

Rules of Construction. The terms contained in Fourth Addendum will be as effective as if they were typewritten in the Lease. In the event there is any conflict between the Lease and this Fourth Addendum, the provisions of this Fourth Addendum will prevail with respect to the Expansion Space. All other terms of the Lease are still in full force and effect. As used in this Fourth Addendum, the words “this Lease” will mean the Lease and this Fourth Addendum. Unless specifically defined herein, all capitalized terms used in this Fourth Addendum shall have the same meaning as the capitalized terms in the Lease.

This Project Addendum 1 enters into force on the Project Addendum 1 Effective Date for the duration of the LHON Research Program.

Headings. The headings in this Addendum are for reference purposes only and shall not in any way affect the meaning or interpretation of this Addendum.

Addendum Your Award shall be subject to any additional provisions set forth in the Addendum to this Agreement for your country, if any. If you relocate to one of the countries included in the Addendum during the Restriction Period, the special provisions for such country shall apply to you, to the extent the Company determines that the application of such provisions is necessary or advisable for legal or administrative reasons. The Addendum, if any, constitutes part of this Agreement.

The Committee shall administer the Pre-2005 Addendum in accordance with its terms and shall have all powers necessary to carry out the provisions of the Pre-2005 Addendum as may be more particularly set forth herein. The Committee shall interpret the Pre-2005 Addendum and shall determine all questions arising in the administration, interpretation, and application of the Pre-2005 Addendum. Any such determination by the Committee shall be conclusive and binding on all persons. The Committee shall be the Pre-2005 Addendum’s agent for service of process.
