Conflicts and Pending Actions. There is no agreement to which Seller is a party or, to Seller’s knowledge, that is binding on Seller that is in conflict with this Agreement. To Seller’s knowledge, there is no action or proceeding pending or threatened against Seller or relating to the Properties that challenges or impairs Seller’s ability to execute or perform its obligations under this Agreement.

There is no agreement to which Seller is a party or, to Seller’s knowledge, binding on Seller which is in conflict with this Agreement, or which challenges or impairs Seller’s ability to execute or perform its obligations under this Agreement. There is not now pending or, to the Seller’s knowledge, threatened, any action, suit or proceeding before any court or governmental agency or body against the Seller that would prevent Seller from performing its obligations hereunder, or against or with respect to the Property. Seller has not received any notice of any condemnation, eminent domain or similar proceedings pending or threatened with regard to the Property, nor pending or threatened liens against the Property.

Conflicts and Pending Action. There is no agreement to which Purchaser is a party or to Purchaser’s knowledge binding on Purchaser which is in conflict with this Agreement. To Purchaser’s knowledge, there is no action or proceeding pending or threatened against Purchaser that challenges or impairs Purchaser’s ability to execute or perform its obligations under this Agreement.

Conflicts. There is no agreement to which Seller is a party or binding on Seller or the Premises which is in conflict with this Agreement or which would prevent the timely performance by Seller of its obligations pursuant to this Agreement.
