Purchase Entirely for Own Account. The Option Holder is acquiring the Option and the Purchase Shares that may be sold pursuant to this Agreement for its own account for investment purposes only and not with the view to, or with any intention of, resale, distribution or other disposition thereof. The Option Holder does not have any direct or indirect arrangement, or understanding with any other persons to distribute, or regarding the distribution of the Option and the Purchase Shares in violation of the United States Securities Act of 1933, as amended (the “Securities Act”) or other applicable laws.

Purchase Entirely for the Purchaser’s Own Account. The Option HolderPurchaser is acquiringpurchasing the Option andShares in the Purchase Shares that may be sold pursuant to this Agreement for its own accountordinary course of business for investment purposes only for the Purchaser’s own account, not as a nominee or agent, and not with a view to the view to,resale or with any intention of, resale, distribution or other disposition thereof. The Option Holder does not have any direct or indirect arrangement, or understanding with any other persons to distribute, or regarding the distribution of the Optionany part thereof, and the Purchase Shares in violationPurchaser has no present intention of selling, granting any participation in, or otherwise distributing the United States Securities Act of 1933, as amended (the “Securities Act”) or other applicable laws.Shares.
