Acknowledgments. Each party to this Agreement acknowledges that it has executed this Agreement voluntarily, with a full knowledge and a complete understanding of the terms and effect of this Agreement and that it has been fully advised by competent counsel as to the nature and effect of the applicable terms and provisions hereof.

Each Party acknowledges that they have read this Agreement carefully and understand the import and substance of each and all of the terms set forth herein. Each Party acknowledges that they are entering this Agreement voluntarily, without any coercion, and based upon their own judgment.

The Parties hereby represent and warrant that they are fully aware of the terms set forth in this Agreement and have voluntarily, and without coercion or duress of any kind, entered into this Agreement intending to be legally bound by its terms. The Parties hereto represent and declare that in executing this Agreement, it is voluntary, they rely solely upon their own judgment, belief and knowledge, and the advice or recommendations of their own independently chosen counsel considering the nature, extent, duration of their rights and claims hereunder.
